Related Transaction Documents. The Purchase Agreement and the ----------------------------- Indenture, together with all exhibits and schedules thereto.
Related Transaction Documents. The Borrower has, prior to the date hereof, delivered to the Lenders true copies of the Related Transaction Documents, and each and every amendment or modification thereto and, except for receipt and application of certain proceeds of the Loans, the Related Transactions have been completed in accordance with the Related Transaction Documents, without any waiver or amendment of any term or condition contained therein without the prior written approval of the Lenders, and in compliance with any applicable laws and necessary governmental authority approvals. .
Related Transaction Documents. Borrower shall comply with the terms of, employ the procedures outlined in, and enforce the obligations of Xerox and MPE 2 under all of the Related Transaction Documents to which Borrower is a party.

Without the prior written consent of the Buyer, the Seller shall not (i) amend, modify or waive any provision of the Related Transaction Documents in a manner that would reasonably be expected to materially adversely affect Buyer’s rights or obligations or materially delay the Closing Date or (ii) terminate the Merger Transaction Agreement pursuant to Section 8.1(a) or the CBNA Transaction Agreement pursuant to Section 8.1(a) by the mutual written agreement of the Seller and the applicable counterparty. Subject to the foregoing, the Seller shall deliver promptly to Buyer copies of all material amendments, modifications and waivers to any Related Transaction Document.
Related Transaction Documents. The Parent has delivered to Agent a complete and correct copy of each Related Transaction Document, including all schedules and exhibits thereto. The Related Transaction Documents set forth the entire agreement and understanding of the parties thereto relating to the subject matter thereof, and there are no other agreements, arrangements or understandings, written or oral, relating to the matters covered thereby. The execution, delivery and performance of the Related Transaction Documents have been duly authorized by all necessary action (including, without limitation, the obtaining of any consent of stockholders or other holders of Capital Stock required by law or by any applicable corporate or other organizational documents) on the part of each such Person. No authorization or approval or other action by, and no notice to filing with or license from, any Governmental Authority is required for such sale other than such as have been obtained on or prior to the Closing Date. The Related Transaction Documents are the legal, valid and binding obligation of the parties thereto, enforceable against such parties in accordance with their terms.
Related Transaction Documents. Borrowers have delivered or caused to be delivered to Lender true, correct, complete (and, where applicable, executed) copies of each of the Related Transaction Documents.
Related Transaction Documents. At Closing Time, the Representative shall have received each of the Related Transaction Documents and such related Transaction Documents shall be executed by the Company and each of the other parties thereto shall be in full force and effect, and shall be consistent in all material respects with any descriptions thereof in the Registration Statement or the Prospectus.
Related Transaction Documents. (a) Evidence that the Senior Notes have been satisfied through the payment of cash in accordance with the provisions of the Indenture.
Related Transaction Documents. The Company has delivered to the Administrative Agent true, complete and correct copies of the Related Transaction Documents, together with all amendments and modifications thereto. The Related Transaction Documents (including the schedules and exhibits thereto) comprise a full and complete copy of all agreements between the parties thereto with respect to the subject matter thereof and all transactions related thereto, and there are no agreements or understandings, oral or written, or side agreements not contained therein that relate to or modify the substance thereof which have not been previously disclosed in writing to the Administrative Agent. Such Related Transaction Documents have been duly authorized by all necessary corporate action on the part of the Company and each of its Subsidiaries party thereto, and, when executed and delivered by the Company and each such Subsidiary a party thereto, shall be enforceable in accordance with their respective terms except as such enforcement may be limited by bankruptcy, insolvency, fraudulent conveyance, moratorium or similar state or federal debtor relief laws which affect the enforcement of creditors' rights in general and the availability of equitable remedies. The representations and warranties made by the Company and its Subsidiaries contained in the Related Transaction Documents are true and correct and no default or event of default exists under the Related Transaction Documents, and such representations and warranties are hereby incorporated herein by reference with the same effect as though set forth in their entirety herein, as qualified herein.
