Release Effective Date. After Acceptance of a Release, the Counties shall, with input from Contractor, determine whether the Release is ready for its Release Effective Date.
Release Effective Date. As set forth in paragraph 7(j) of the Employment Agreement, the payments and benefits set forth in Section 3 of this Separation Agreement are expressly conditioned upon (x) your execution and delivery to CBS of the general release attached hereto as Exhibit A and (y) such general release becoming effective and irrevocable in its entirety (i.e., the expiration of the seven (7) day revocation period), within sixty (60) days following the Separation Date (i.e., on or before December 31, 2018) (the “Release Effective Date”). If at the time within such 60-day period any cash severance payments are scheduled to be paid to you pursuant Section 3 of this Separation Agreement, and you have not executed the general release and/or it has not become effective and irrevocable in its entirety, then any such cash severance payments shall be held Xxx X. Xxxxxxxx September 21, 2018 and accumulated without interest and shall be paid to you on the first regular payroll date following the Release Effective Date. Similarly, vesting of any outstanding equity awards shall be suspended until the Release Effective Date. Your failure or refusal to timely sign and deliver the release or your revocation of an executed and delivered release in accordance with applicable laws, whether intentionally or unintentionally, will result in the forfeiture of the payments and benefits under Section 3 (also described in paragraph 7(b)(ii) of the Employment Agreement).
Release Effective Date. You must continue to comply with the covenants under Sections 8 and 9 to continue to receive severance benefits.
Release Effective Date. To the extent that any payment or benefit provided for in this Agreement constitutes a “deferral of compensation” within the meaning of Section 409A of the Code, if the period from (y) the date of Executive’s Separation of Service to (z) the date on which Executive’s revocation rights would expire if Executive were to deliver the Separation Agreement to Employer on the 60th day following the Separation Date, begins in one calendar year and ends in the following calendar year:
(i) Employer shall not pay Executive any Cash Change in Control Benefits, and the Accelerated Change in Control Benefits shall not vest or be settled, prior to Employer’s first payroll date of the calendar year following the year of the Separation Date, but in no event more than 90 days after the Separation Date, and
(ii) Employer shall hold and accumulate the Cash Change in Control Benefits to which Section 4(c)(i) applies, without interest, and shall pay the Cash Change in Control Benefits, and the Accelerated Change in Control Benefits shall vest, on Employer’s first payroll date on the calendar year following the year of the Separation Date.
Release Effective Date. To the extent the amounts described in Sections 4(f) and 4(g) of this Agreement constitute “non-qualified deferred compensation” that is subject to Section 409A, (i) to the extent Officer’s termination of employment with the Company occurs on or after November 2 of any calendar year, no amounts shall be paid pursuant to Sections 4(f) and 4(g) of this Agreement until the calendar year following the year in which the Termination Date occurs, (ii) to the extent any payments are delayed pursuant to this Section 6(b), such delayed amounts shall be paid in a lump-sum promptly following the later of the date that the release can no longer be revoked and January 1 of the calendar year following the calendar year in which the Termination Date occurred, and (iii) all payments due after the payment made pursuant to clause (iv) of this sentence shall be made at the time prescribed in Sections 4(f) and (g) of this Agreement.
Release Effective Date. Executive further acknowledges that he has been provided 21 days to consider and accept this Agreement from the date it was first given to him, although Executive may accept it at any time within those 21 days. Executive further understands that he has seven days after signing the Agreement to revoke it by delivering to the Executive Vice President, Chief Human Resource Officer, The Hertz Corporation, 0000 Xxxxxxxx Xxxx, Estero, Florida 33928, written notification of such revocation within the seven-day period. If Executive does not revoke the Agreement, the Agreement will become effective and irrevocable by him on the eighth day after he signs it (the “Effective Date”).
Release Effective Date. Executive understands that, in the event of this Release being signed in connection with Section 3 of the Agreement, this Release shall be null and void if executed by Executive at a time other than the Succession Date or the three (3) day period immediately preceding or following the Succession Date. Executive acknowledges and agrees that Executive received this Release Agreement for review greater than twenty-one (21) days before such execution deadline. Executive further understand that, in the event of this Release being signed in connection with Section 5.b or Section 6 of the Agreement, this Release shall be null and void if not signed by Executive within twenty-one (21) days following the Separation Date. In the case of Executive signing this release in connection with either Section 3, Section 5.b or Section 6 of the Agreement, this Release Agreement will become effective on the eighth (8th) day after Executive signed this Release, so long as it has been signed by the Parties and has not been revoked by either Party before that date (the “Release Effective Date”).
Release Effective Date. This Separation Agreement and Release shall be effective on the latest of the Termination Date (July 27, 2007), the date it is signed for the Company or the eighth calendar day following the date it is signed by the Executive.
Release Effective Date. Executive will forfeit any severance benefits under the Executive Severance Plan in accordance with the terms herein and therein, if this Agreement is not executed a second time by Executive within twenty-one (21) days from his Termination Date. The release portion of this Agreement will become effective on the eighth (8th) day after Executive signs this Agreement for the second time, so long as it has not been revoked by Executive before that date (the “Effective Date”). Any notice of revocation must be sent by certified mail to the attention of the General Counsel at the Company’s Pleasanton, CA headquarters.
