Reliance by Parties Clause Samples
The 'Reliance by Parties' clause establishes that each party is entitled to depend on the representations, warranties, or information provided by the other party within the agreement. Reliance by Parties. Each party ("Representor") agrees and acknowledges that: in entering into this agreement the other party has relied on the representations and warranties provided by the Representor under this clause 13; any breach of the representations and warranties provided by the Representor under this clause 13 after the Proposal becomes Effective may only give rise to a claim in damages and cannot result in a termination of this agreement; it has not entered into this agreement in reliance on any warranty or representation made by or on behalf of the other party or its Representatives except those warranties and representations set out in this agreement; and this acknowledgment does not prejudice the rights any party may have in relation to the Target Information, the Bidder Information or any information filed by the other party with ASX or ASIC.
Reliance by Parties. Developer and the Township acknowledge that each has and does rely upon each and every term, condition, paragraph, representation, covenant, warranty, and provision of this Agreement as an inducement to enter into this Agreement. The Developer and the Township each rely upon the certifications and representations made by the other in this Agreement and that both have received proper legal advice and are aware of the entire impact of this Agreement and further understand and agree to each and every provision hereof.

Reliance by Parties. Notwithstanding the right of WidePoint and Acquisition, on the one hand, and Protexx and the Protexx Management Shareholders, on the other, to investigate the business, Assets and financial condition of Protexx, WidePoint and Acquisition respectively, and notwithstanding any knowledge obtainable by WidePoint, Acquisition or Protexx, as a result of such investigations, WidePoint, Acquisition on the one hand and Protexx and the Protexx Management Shareholders, on the other have the unqualified right to rely upon and have relied upon, each of the representations and warranties made by Protexx and the Protexx Management Shareholders on the one hand, and WidePoint and Acquisition on the other, in this Agreement.
Reliance by Parties. This Agreement is intended by Owners to be considered by the City as part of the Owners’ request for annexation of the Property and for Owners’ future applications for subdivision approval, PUD approval, and other. This Agreement is contingent upon said annexation. Owners acknowledge and intends the City to consider and rely upon this Agreement in its review and consideration of said annexation request and future subdivision and PUD applications.
Reliance by Parties. Each party (Representor) acknowledges that in entering into this document the other party has relied on the representations and warranties provided by the Representor under this clause 10.
Reliance by Parties. Each party (the REPRESENTOR) acknowledges that in entering into this Agreement the other party has relied on the representations and warranties provided by the representor under this clause 11. The representations and warranties provided by the representor are not extinguished or affected by any investigation made by or on behalf of the other party into the affairs or business of the representor or its Related Entities.
Reliance by Parties. MCWT and the Board shall be entitled to reasonably rely, and shall be fully protected in reasonably relying, upon (i) any writing, communication, signature, resolution, representation, notice, consent, certificate, affidavit, letter, telegram, facsimile, telex, or telephone message, electronic mail message, statement or other document or conversation believed by it in its reasonable discretion to be genuine and correct and to have been signed, sent or made by the proper party.
Reliance by Parties. Each party (the representor) acknowledges that in entering into this document the other party has relied on the representations and warranties provided by the representor under schedule 2 and schedule 3 (as appropriate).
