Common use of Remuneration and Reimbursement Clause in Contracts

Remuneration and Reimbursement. (A) Subject to Clause 7(B), the Director shall receive during the continuance of the Appointment a fee of US$1 per annum. Such fee may be increased annually after each year of service at a rate to be determined by the compensation committee of the Company (“Compensation Committee”) and approved by the Board in its absolute discretion. (B) The Director shall be reimbursed all reasonable out-of-pocket expenses (including expenses of entertainment, subsistence and traveling) reasonably incurred by her in the discharge of her duties an executive officer or in such positions as may be assigned from time to time at the discretion of the Company in connection with the Business which expenses shall be evidenced in such manner as the Board may require. (C) As part of the fee package, the Director may, at the determination by the Compensation Committee and with the approval of the Board, be granted equity awards entitling the Director to subscribe for shares in the Company upon such terms and conditions as are established by the Compensation Committee and the Board.
