Reports and Data. A. ACCESS TO AND/OR DISCLOSURE OF FINANCIAL RECORDS The County and any subcontractors shall make available to the Department, the Department’s authorized agents, and appropriate representatives of the U.S. Department of Health and Human Services any financial records of the County or subcontractors that relate to the County’s capacity to bear the risk of potential financial losses, or to the services performed and amounts paid or payable under this Contract. The County shall comply with applicable recordkeeping requirements specified in s. DHS 105.02(1)-(7) Wisconsin Administrative Code, as amended.
Reports and Data. The Principal Investigator shall conduct meetings with the oversight committee at milestones in the schedule determined by agreement between the PI and the oversight committee. The Principal Investigator shall provide AISC with scheduled progress reports and a draft Final Report in pdf format upon completion of the Research. The draft Final Report shall be reviewed by the AISC Representative and approved if the work is in conformance with the scope and description of the Research set forth in this Agreement. Such review shall be completed within 45 days of submission of the draft Final Report. Within 45 days of the completed review, copies of the Final Report shall be submitted to AISC along with an electronic file containing the report, in a .pdf or MSWord format. The results of the Research shall not be grounds for disapproval of the draft Final Report. The Investigators shall duly consider all reasonable recommendations made by AISC regarding the conduct of the Research. The Investigator will assemble test data in a format that can be read by commercially available software and provide it to AISC with or previous to providing the final report as soon as practicable after each test.
Reports and Data. Any reports, data, or similar information given to or prepared or assembled by the Company under this contract which the City requests to be kept as confidential shall not be made available to any individual or organization by the Company without prior written approval of the City.
Reports and Data. In addition to any other reporting obligations under this Contract, County shall, upon reasonable request, submit such reports and data relating to services covered under this Contract as are needed by CalOptima to meet any mandatory reporting requirements. CalOptima shall reimburse County for reasonable costs for producing and delivering such reports and data.”
Reports and Data. Alcon shall provide written quarterly development progress reports to Pharmacyclics. Alcon will provide Pharmacyclics with access to all data generated by Alcon for use by Pharmacyclics and its licensees in support of Licensed Product development outside of the Field, at no cost to Pharmacyclics; provided, however, Pharmacyclics may only provide such data to a given third party licensee for use outside the Field if such third party licensee has agreed that Pharmacyclics may provide Alcon with access to all data generated by such third party licensee for use by Alcon in support of Licensed Product development inside the Field, at no cost to Alcon. Accordingly, to the extent not precluded by third-party contracts, Pharmacyclics will provide Alcon with access to all data generated by Pharmacyclics and its licensees for use by Alcon in support of Licensed Product development inside the Field, at no cost to Alcon. In addition to the foregoing, Alcon shall use best efforts to give Pharmacyclics the opportunity to review and comment upon all preclinical and clinical protocols, prior to implementation, in order to advise Alcon of any possible improvements to the proposed protocol Pharmacyclics believes to be necessary or useful, provided, however, Pharmacyclics shall provide its comments on a given protocol, if any, to Alcon within three (3) business days of Pharmacyclics' receipt of such protocol. In all events the final decision as to the content and timing of the filing of such protocols with a Health Authority shall be made by Alcon.
Reports and Data. The Servicer shall, not later than the Reporting Day in respect of any Determination Day, make all calculations and determinations required under Section 4.01 and 5.05 for the Determination Day and shall provide the Seller, the Custodian and the applicable Co-Owner with a report in writing, in respect of the applicable Series, signed by the Servicer and containing the information in such form as may be agreed to by the Seller, the applicable Co-Owner and the Servicer and such additional information as may reasonably be requested from time to time by the Seller, the Custodian and the applicable Co-Owner as provided in the related Series Purchase Agreement.
Reports and Data. If Xxxxxxx makes an election to opt out of further joint Development of the Licensed Products pursuant to Section 3.10(g)(iii), each Party then engaged in Development activities shall thereafter prepare and provide to the other Party, within [*] days after the end of June and December of each Calendar Year, a written report that summarizes the Development activities performed, and any Program Inventions and Data generated, by such Party hereunder during the preceding two (2) Calendar Quarters and identifies any issues or circumstances of which it is aware that may prevent or adversely affect in a material manner the future performance of activities under the Development Plan. The Parties may agree that minutes or presentations from Committee meetings may be used to satisfy the foregoing reporting requirement. Each Party shall maintain records in sufficient detail as will properly reflect all work done, and Development Costs expended, in the performance of activities arising out of, in conducting, or otherwise in connection with the Development Plan. In addition, each Party, at the request of the other Party, or upon instruction by the JSC, shall promptly provide to the other Party in a prompt manner all Data (including all reports related to any Clinical Studies) developed by or on behalf of such Party in connection with the Development of the Licensed Products in the Field under this Agreement. The format of, and media for exchanging, such Data shall be determined by the JSC.
Reports and Data. 4.10.1 Supplier shall submit a monthly quality report covering three distinct categories: • Receiving and/or source inspection performed and reported by Sun. • Self surveillance by Supplier (see Section 4.4). For each of these categories, the report shall include: • Performance trend. • Pareto analysis of defects based on root cause determination. • Listing and status of suitable corrective actions, recovery plans and/or improvement plans. • Detail by serial number of defects and associated analysis. Supplier is responsible for correlation analysis across the three categories in order to identify common issues. The report shall be summarized at the worldwide level and ‘delineated as appropriate to clearly identify areas requiring corrective action.
4.10.2 Supplier shall comply with the requirements specified in Supplier Repair Data Reporting Specification ENG0008.
4.10.3 If requested, Supplier shall provide additional available information for any given serial number.
Reports and Data. The Government will inspect monthly the Contractor's performance in submitting reports and data as required by the contract. Inspection shall be conducted by the CO and the COR. Inspection and evaluation of the Contractor will be performed to assess the following: (1) compliance with the specifications; (2) responsiveness; (3) timeliness; (4) quality with respect to generally acceptable professional standards, and (5) compliance with all elements of Section F.3
Reports and Data. (1) The Servicer shall, not later than each Calculation Day, make all calculations and determinations required to be made under Sections 5.1 and 5.2 in respect of a Series for the related Reporting Period and shall provide each of the Seller, the Custodian and any other Person so specified in the related Series Purchase Agreement and any applicable Additional Property Agreement, not later than the fifth Business Day after the Calculation Day, with:
(a) a report in respect of the Series in writing and signed by the Servicer and containing the information in the form prescribed in, or in the form as scheduled to, the related Series Purchase Agreement and such additional information as may reasonably be requested from time to time by the Seller, the Custodian and any Person entitled to request additional information in respect of the Series as provided in the related Series Purchase Agreement, in each case at the time prescribed in such Series Purchase Agreement; and
(b) an Officers’ Certificate to the effect that (i) no proceedings by or, to its knowledge, against the Servicer for its dissolution, liquidation or winding-up or for any relief from the laws of any jurisdiction relating to bankruptcy, insolvency, reorganization, arrangement, compromise or winding-up, or for the appointment of one or more of a trustee, receiver, receiver and manager, custodian, liquidator or other Person with similar powers with respect to the Servicer, have been taken with respect to the Servicer or, if such proceedings have been taken, specifying the same, and (ii) no Servicer Termination Event has occurred or, if such an event has occurred, specifying the same.
(2) The Servicer shall provide to the Custodian, the Seller and each Person so specified in a Series Purchase Agreement, no less frequently than annually, an Officers’ Certificate of the Servicer confirming compliance with its duties hereunder in respect of each Series and as to such other matters as may be contemplated to be included therein in the related Series Purchase Agreement.
