Reports and Studies Clause Samples

Reports and Studies. As of the Closing Date, Section 19.28 of the Disclosure Schedules contains a correct and complete list of any and all final studies, final reports, draft studies and reports where final studies and reports have not been issued, surveys, plans, test results, analyses, environmental monitoring and other reports prepared by Seller, ProjectCo or their Affiliate (or on their behalf) in connection with the Project, the Project Assets or the Project Real Property. The Reports and Studies have not been amended except as set forth on Section 19.28 of the Disclosure Schedules. ProjectCo and Seller have made available true, correct and complete copies of the Reports and Studies. 63

Reports and Studies. Seller agrees to deliver to Buyer not later than ten (10) days after the Effective Date copies of (i) all title information in the possession of or available to Seller, including, but not limited to, title insurance policies or binders, attorneys' opinions on title, boundary and physical surveys, copies of restrictive covenants, deeds, notes and deeds of trust, deeds to secure debt, mortgages and easements relating to the Property, (ii) copies of all environmental and geotechnical reports in the possession of or available to Seller, whether prepared by Seller of by a third party, and (iii) any and all other studies or reports, whether prepared by Seller or a third party, which relate to the physical condition or character of the Property.

Reports and Studies. The employer agrees to give to the mixed committee a copy of all accident reports concerning a salaried person. If the employer has a study conducted on health and security of the salaried employees, the employer will submit a copy to the Union of the study’s results.

Reports and Studies. The Seller, the Stockholder, and the Owners have provided to the Purchaser all reports and studies pertaining to the Seller, the Project, the Site, and the Stockholder, including, but not limited to, geology reports, geophysical surveys, well log data, geochemical surveys, temperature gradient well data, well cuttings analysis, hydrological studies, flow test data, and temperature surveys.

Reports and Studies. Seller warrants prior to the execution of this Agreement, Seller has given Buyer access to all information, including but not limited to, giving Buyer copies of any and all reports, studies, documents, or papers within its possession, custody, or control, which analyze, concern, or address: (i) Seller’s compliance with any laws, rules, ordinances or regulations of any applicable governmental authority or body; and

Reports and Studies. Prepare engineering reports and studies on a variety of subjects including hydraulic modeling, stormwater infrastructure condition assessments, traffic engineering studies, facility condition assessments and road pavement condition evaluations.

Reports and Studies. To the knowledge of the Company, the Company has delivered or otherwise made available for inspection to the Parent true, complete and correct copies and results of any material reports, studies, analyses, tests or monitoring possessed or initiated by the Company or any of its subsidiaries and currently in their possession or control pertaining to Hazardous Materials in, on, beneath or adjacent to any property currently or formerly owned, operated or leased by the Company or any of its subsidiaries, or regarding the Company's or any of its subsidiaries' compliance with applicable Environmental Laws.

Reports and Studies. Seller has Made Available to Buyer true, correct and complete copies of the Reports and Studies listed on Schedule 4.15. Schedule 4.15 includes a list of all material Reports and Studies and all Reports and Studies obtained since the date that is two (2) years prior to the Effective Date. “Reports and Studies” means reports, studies, and tests prepared by any third party (and all amendments and supplements thereto) related to the Project or the Project Assets, prepared, commissioned by, or delivered or available to, Seller or any Affiliate of Seller, including any such reports, studies and tests that address any of the following matters in connection with the Project: the Real Property, design studies, geotechnical studies, transportation studies, environmental studies, engineering studies, anthropological studies, geotechnical studies, geological studies, cultural resources studies, feasibility studies, air studies, transmission or interconnection studies, flora and fauna studies, wildlife studies (including endangered or threatened species), state department of transportation analyses, zoning studies, and visual impact studies.
