Common use of Reports, Evaluations and other Services Clause in Contracts

Reports, Evaluations and other Services. The Sub-Adviser shall furnish reports, evaluations, information or analyses to the Adviser and the Board with respect to each Fund and in connection with the Sub-Adviser’s services hereunder as the Adviser or the Board may reasonably request from time to time or as the Sub-Adviser may otherwise deem to be desirable. The Sub-Adviser shall make recommendations to the Board with respect to Fund policies, and shall carry out such policies as are adopted by the Board. The Sub-Adviser shall, subject to review by the Adviser and the Board, furnish such other services as the Sub-Adviser shall from time to time determine to be necessary or useful to perform its obligations under this Agreement.

The Sub-Adviser shall provide prompt notice (in advance, if practicable) to the Adviser of any changes in the Sub-Adviser's personnel who are responsible for the day-to-day management of the Fund's portfolio. The Sub-Adviser may make recommendations to the Adviser and the Board with respect to Fund the Fund's policies, and shall carry out such policies as are adopted by the Board. The Sub-Adviser shallmay, subject to review by the Adviser and the BoardAdviser, furnish such other services as the Sub-Adviser shall from time to time determine to be necessary or useful to perform its obligations under this Agreement.
