Common use of Reports, Evaluations and other Services Clause in Contracts

Reports, Evaluations and other Services. The Subadviser shall furnish reports, evaluations, information or analyses to the Adviser or the Trust with respect to a Fund in connection with the Subadviser's services hereunder as the Adviser or the Trust's Board of Trustees may reasonably request from time to time or as the Subadviser may otherwise deem to be necessary or appropriate including but not limited to (i) a monthly due diligence checklist as provided to Subadviser by Adviser; and (ii) reports of any material changes regarding Subadviser that could reasonably affect management of the Funds such as any change in the personnel involved in management of the Funds. The Subadviser shall make recommendations to the Adviser or the Trust's Board of Trustees with respect to Trust policies, and shall carry out all policies that are adopted by the Board of Trustees and provided to Subadviser. The Subadviser shall, subject to review by the Adviser and the Board of Trustees, furnish such other services as the Subadviser shall from time to time determine to be necessary or appropriate to perform its obligations under this Interim Agreement. The Subadviser shall cooperate fully with the Trust's independent auditors and counsel and with the Adviser in connection with any annual audit, the preparation of filings with the Commission, and in connection with any examination of the Trust or the Adviser by the Commission.

The Subadviser shall cooperate fully with the TrustCorporation's independent auditors and counsel and with the Adviser in connection with any annual audit, the preparation of filings with the Commission, and in connection with any examination of the Trust Corporation or the Adviser by the Commission.
