Reports to Rating Agencies. The Servicer shall deliver to each Rating Agency, at such address as such Rating Agency may request, a copy of all reports or notices furnished or delivered pursuant to this Article III and a copy of any amendments, supplements or modifications to this Agreement and any other information reasonably requested by such Rating Agency to monitor this transaction. If CarMax is no longer the Servicer, the successor Servicer shall provide any required Rating Agency notices, reports or other communications to the Depositor, who promptly shall provide such notices, reports or communications to the Rating Agencies.

Reports to Rating Agencies. (a) The Indenture Trustee shall provide to each Rating Agency copies of statements, reports and notices, to the extent received or prepared in connection herewith, as follows: (i) copies of amendments to this Agreement; (ii) notice of any substitution or repurchase of any Home Loans; (iii) notice of any termination, replacement, succession, merger or consolidation of the Servicer, the Master Servicer, any Custodian or the Issuer; (iv) notice of final payment on the Notes; (v) any Notice of Default; (vi) copies of the annual independent accountants' report delivered pursuant to Section 7.05 hereof, and copies of any compliance reports delivered by the Servicer including under Section 7.04 hereof; and (vii) copies of any Payment Date Statement pursuant to Section 6.01(b) hereof. (b) With respect to the requirement of the Indenture Trustee to provide statements, reports and notices to the Rating Agencies, such statements, reports and notices shall be delivered to the Rating Agencies at the following addresses: (i) if to Standard & Poor's Ratings Services, 55 Water Street, New York, New York, 10041, Attention: Residential Moxxxxxx Xxxxxxxxxxxx Xxxxx; xxx (xx) xx xx Moody's Investors Service, Inc., 99 Church Street, Pass-Through Group, Xxx Xork, New York 10007, Attenxxxx: Xxxxxxxxxxx Xxxxxxxx.

Reports to Rating Agencies. (a) In addition to the information and reports specifically required to be provided to the Rating Agencies pursuant to the terms of this Indenture, the Trustee shall provide the Rating Agencies with all information or reports delivered by the Trustee hereunder, and such additional information as the Rating Agencies may from time to time reasonably request and the Trustee determines in its sole discretion may be obtained and provided without unreasonable burden or expense. The Issuer shall promptly notify the Trustee and the Preferred Shares Paying Agent if a Rating Agency’s rating of any Class of Notes has been, or it is known by the Issuer that such rating will be, downgraded or withdrawn. (b) The Issuer (or the Loan Obligation Manager on behalf of the Issuer) shall provide the Rating Agencies with all information and reports delivered to the Trustee hereunder. (c) All additional reports to be sent to the Rating Agencies pursuant to clause (a) above shall be reviewed prior to such transmission by the Loan Obligation Manager. (d) The Issuer shall cause to be provided all 17g-5 Information to the Rating Agencies in the manner specified in Section 14.13. For the avoidance of doubt, any such information referred to in this Section 10.14 shall not include any of the Accountants’ Reports.

The Issuer, or the Collateral Manager on behalf of the Issuer, also shall deliver to the Rating Agencies, within ten (10) Business Days after each Quarterly Measurement Date, (x) a completed certificate substantially in the form of Exhibit J hereto, and (y) a completed report substantially in the form of Exhibit K hereto. (b) The Issuer, or the Collateral Manager on behalf of the Issuer, shall provide the Rating Agencies with all information and reports delivered to the Trustee hereunder, and shall provide to Fitch on a quarterly basis the files shown in Exhibit I attached hereto, in excel format, relating to Loans and CMBS Securities. (c) All additional reports to be sent to the Rating Agencies pursuant to clause (a) above shall be reviewed prior to such transmission by the Collateral Manager.

(c) All additional reports to be sent to the Rating Agencies pursuant to clause (a) above shall be reviewed prior to such transmission by the Collateral Manager.
