Representation and Warranty of Customer. Customer hereby represents that any imprint made at the request of Customer of a likeness of a person, product, logo or other protected material provided by Customer, is being produced with the knowledge and consent of all individuals and entities having the rights to exploit such likeness, or, product, logo or material. Customer represents that the use by Company of likeness, products, logos and material furnished by Customer will not infringe on any copyrights, trademarks or any other intellectual property rights of any third party. At the request of Company, Customer shall provide Company with evidence of authority to produce any likeness, product, logo or other material requested by Customer.

Representation and Warranty of Customer. Customer hereby represents that the Designs provided by Customer, are being provided with the knowledge and written consent of all individuals and entities having the rights to exploit each such likeness, product, logo, trademark, material design and visual presentation. Customer represents that the use by Company of likeness, products, logos, trademark, material design and visual presentation furnished by Customer will not infringe on any copyrights, trademarks or any other intellectual property rights of any third party.   • Representation and Warranty The Executive hereby acknowledges and represents that he has had the opportunity to consult with legal counsel regarding his rights and obligations under this Agreement and that he fully understands the terms and conditions contained herein.
