Representation of Lender. Lender is an accredited investor as defined in Rule 501(a) of Regulation D and has such business and financial experience as necessary to enable it to protect its interests in connection with the transactions contemplated by this Agreement. Lxxxxx has had the opportunity to ask questions and to receive answers and to obtain the information concerning the Company Entities and the transactions contemplated by this Agreement that it has deemed material and necessary to evaluate the merits and risks of the transactions contemplated by this Agreement.

Representation of Lender. (a) Xxxxxx has all requisite power and authority to execute and deliver this Agreement and any other document contemplated by this Agreement to be signed by the Borrower and to perform its obligations hereunder and to consummate the Transaction contemplated herein. (b) This Agreement involves a high degree of risk and Lender acknowledges that Lender can bear its complete economic risk. (c) Xxxxxx has the sophistication, knowledge and business acumen necessary to adequately evaluate funding the Principal Amount to the Borrower and understands completely the terms, conditions, and risks associated with same.
Representation of Lender. Lender hereby represents and warrants that it is the sole and lawful owner of the Note, and has not assigned any interest of any kind therein to any party, nor has it assigned any of its rights or interests under the Security Agreement.

Representation of Lender. Each Lender is entitled to receive all Distributions made by the issuer.
