Representations And Warranties of Parent and Seller Companies. Parent and each Seller Company, jointly and severally, represents and warrants to Purchaser as of the date hereof and as of the Closing Date as set forth below in this Section 2. Each of the representations and warranties shall be deemed material and Purchaser, in executing, delivering and consummating the transactions under this Agreement, has relied and will rely upon the correctness and completeness of each representation and warranty notwithstanding any independent investigation and all the representations and warranties are provided by Parent and Seller Companies to induce Purchaser to enter into this Agreement and consummate the transactions contemplated hereby.
