REPRESENTATIONS AND WARRANTIES The U. S. Borrower hereby represents and warrants that each of the representations and warranties made by the U.S. Borrower in the Collateral Documents, as amended hereby, and the other Loan Documents to which the U.S. Borrower is a party or by which the U.S. Borrower is bound, shall be true and correct in all material respects on and as of the date hereof (other than representations and warranties in any such Loan Document which expressly speak as of a specific date, which shall have been true and correct in all material respects as of such specific date) and no Default or Event of Default has occurred and is continuing as of the date hereof.
REPRESENTATIONS AND WARRANTIES The U. S. Borrower hereby represents that (a) each of the representations and warranties made by any Loan Party in or pursuant to the Loan Documents is true and correct in all material respects (or in all respects, if qualified by materiality) on and as of the First Amendment Effective Date as if made on and as of such date; provided, that to the extent such representations and warranties specifically refer to an earlier date, they are true and correct in all material respects (or in all respects if qualified by materiality) as of such earlier date and (b) on the First Amendment Effective Date, and immediately after giving effect to the effectiveness of this Amendment, no Default or Event of Default shall have occurred and be continuing.
