Representations by Contractor. Contractor represents that: (i) it is duly organized, validly existing and in good standing under the laws of the state of its organization; (ii) it is authorized and in good standing to conduct business in the State of Florida; (iii) it has all necessary power and has received all necessary approvals to execute and perform its obligations in the Agreement; and (iv) the individual executing the Agreement on behalf of Contractor is authorized to do so.
Representations by Contractor. A. Contractor shall use skill and attention to complete the Work in a timely manner consistent with the Contract Documents.
B. Owner has reported to Contractor all conditions known to Owner which may not be apparent to Contractor and which might significantly increase cost of the Work or delay completion. These concealed conditions include, but are not limited to, hazards on the Job Site, unsuitable soil conditions, prior Defective Work of others, latent Defects in the Plans or Specifications, earlier attempts to do Similar or related Work, and obligations imposed by government.

If Contractor is a corporation or a limited liability company, Contractor warrants, represents, covenants, and agrees that it is duly organized, validly existing and in good standing under the laws of the state of its incorporation or organization and is duly authorized and in good standing to conduct business in the State of Alabama, that it has all necessary power and has received all necessary approvals to execute and deliver the Agreement, and the individual executing the Agreement on behalf of Contractor has been duly authorized to act for and bind Contractor.
Representations by Contractor. 26 7.1 CONTRACTOR understands and agrees that ICTC has limited knowledge in the transit 27 services specified in the description of work. CONTRACTOR has represented itself to be 28 expert in these fields and understands that ICTC is relying upon such representation.
1 7.2 CONTRACTOR represents and warrants that it is a lawful entity possessing all required 2 licenses and authorities to do business in the State of California and perform all aspects of 3 this Agreement.
4 7.3 CONTRACTOR shall not commence any work under this Agreement or provide any 5 other services, or materials, in connection therewith until CONTRACTOR has received 6 written authorization from the ICTC Executive Director or his designee, via a Notice to

The Contractor hereby represents that before bidding, he carefully examined the Drawings and Project Manual, visited the Site of the Work and fully informed himself as to all existing conditions at the Site and limitations of information provided by the County regarding the Site. The Contractor further represents that he has satisfied himself as to the nature and location of the Work, the general and local conditions, conditions of the Site, availability of labor, materials on the Site, the kind of equipment needed, the requirements of various trades or crafts needed to perform the Work and all other matters which in any way affect the Work or cost. The Contractor agrees that his failure to acquaint himself with all available information concerning conditions shall not relieve him from his bid or his responsibility for estimating properly the difficulties or cost of the Work, or the requirements for any trade, craft or portion of the Work. The Contractor further represents that the Contract Price shall include everything necessary for the completion of Work and of fulfillment of this Agreement for Construction within the time specified hereby, including, but not limited to, furnishing all materials, equipment, tools, plant and other facilities, and all management, superintendence, labor, and services. The Contract Price includes allowance for all Federal, State and local taxes and payment of the prevailing wages required by applicable law and/or the General Conditions.
Representations by Contractor. A. Contractor has reported to Owner all errors, inconsistencies, ambiguities, and omissions found in the Plans and Specifications and has concluded that the Contract Documents define the Work required with enough detail to allow Contractor to complete the Project.

3.2.1 Contractor is duly qualified and in good standing to do business in the State and is duly qualified and in good standing to do business wherever necessary to carry on the business and operations contemplated by this Agreement.
3.2.2 Contractor has obtained all applicable environmental and other governmental permits, licenses and authorizations that are (a) necessary for Residential Unit Collection Services and (b) required to be issued under Federal, State, local law, regulation, rule or ordinance.
3.3.3 Contractor has obtained and submitted to City (a) certificates of insurance for all required insurance coverages specified in this Agreement and (b) documentation of performance bond as required by this Agreement.
3.3.4 To the best of Contractor’s knowledge, there is no action, suit or proceeding, at law or equity, before or by any court or government authority, pending or threatened against Contractor, wherein an unfavorable decision, ruling or finding would materially adversely affect the performance by Contractor of its obligation hereunder or the other transactions contemplated hereby, or which, in any way, would adversely affect the validity or enforceability of this Agreement, or any other contract or instrument entered into by Contractor in connection with the transactions contemplated hereby.
