Common use of REPRESENTATIONS OF THE SECURITY TRUSTEE Clause in Contracts

REPRESENTATIONS OF THE SECURITY TRUSTEE. The Security Trustee represents and warrants to the Issuer: (a) that it is legally competent and in a position to perform the duties assigned to it in this Agreement in accordance with the provisions of this Agreement; and (b) it has and will continue to have its centre of main interests (as that term is used in Article 3(1) of the EU Insolvency Regulation) in the United Kingdom and has not and will not have an establishment (being a place of operations where a company carries out non-transitory economic activity within human means and goods) as referred to in the EU Insolvency Regulation outside of the United Kingdom.
