Representatives Not Individually Liable. No member, official, or employee ofthe Authority shall be personally liable to the Developer, or any successor in interest, in the event of any default or breach or for any amount which may become due to Developer or successor in interest or on any obligations under the terms of this Agreement.
Representatives Not Individually Liable. No member, official, representative, or employee of the County shall be personally liable to the Developer or its successors in interest in the event of any default or breach by the County for any amount which may become due to the Developer or its successors or on any obligations under the terms of the Agreement. No member, partner, director, representative, employee or agent of the Developer or its affiliates or successors in interest shall be personally liable to the County or any agency thereof in the event of any default or breach by the Developer for any amount which may become due to the County on any obligations under the terms of this Agreement unless such person is guilty of fraud.
Representatives Not Individually Liable. None of the representations, warranties, covenants, agreements or obligations of the School District shall be deemed to be a representation, warranty, covenant, agreement or obligation of any present or future officer, agent, employee or attorney of the School District in other than his or her official capacity. No official or employee of the School District shall have any personal interest, direct or indirect, in this Agreement, nor shall any such official or employee participate in any decision relating to this Agreement which affects his or her personal interests or the interest of any corporation, partnership, or association in which he or she is, directly or indirectly, interested. No official or employee of the School District shall be personally liable to United Way or the PEO, or any successor in interest, in the event of any default or breach by the School District or for any amount or amounts which may become due to United Way or the PEO or any successor to United Way or the PEO or on any obligations under the terms and conditions of this Agreement. None of the representations, warranties, covenants, agreements or obligations of United Way or the PEO shall be deemed to be a representation, warranty, covenant, agreement or obligation of any present or future officer, agent, employee or attorney of United Way or the PEO in other than his or her official capacity. No official or employee of United Way or the PEO shall have any personal interest, direct or indirect, in this Agreement, nor shall any such official or employee participate in any decision relating to this Agreement which affects his or her personal interests or the interest of any corporation, partnership, or association in which he or she is, directly or indirectly, interested. No official or employee of United Way or the PEO shall be personally liable to the School District, or any successor in interest, in the event of any default or breach by United Way or the PEO or for any amount or amounts which may become due to School District or any successor to the School District or on any obligations under the terms and conditions of this Agreement.

No member, official, representative, or employee of City shall be personally liable to Developer in the event of any default or breach by City of any obligations under the terms of the Agreement. No member, official, representative, or employee of Developer shall be personally liable to City in the event of any default or breach by Developer of any obligations under the terms of the Agreement.
Representatives Not Individually Liable. No member, official, representative, or employee of the City shall be personally liable to the CID in the event of any default or breach by the City hereunder for any amount which may become due to the CID, or on any obligations under the terms of this Put and Call Agreement. No director, representative, or employee of the CID shall be personally liable to the City in the event any default or breach by the CID hereunder for any amount which may become due to the City, or on any obligations under the terms of this Put and Call Agreement.
Representatives Not Individually Liable. No member, official, representative, agent, or employee of the Town shall be personally liable to Midtown or any successor in interest in the event of any default or breach by the Town for any amount which may become due to Midtown or its successor or on any obligations under the terms of this Agreement. No officer, agent, partner, member, representative, owner or employee of Midtown or any of its members shall be personally liable to the Town (individually or collectively) in the event of any default or breach by Midtown for any amount which may become due to the Town (individually or collectively) or on any obligations under the terms of this Agreement.
Representatives Not Individually Liable. No member, official, representative or employee of the City shall be personally liable to the Company or any successor in interest in the event of any default or breach by the City on any obligations under the terms of the Agreement. No partner, member, representative or employee of the Company or any of its shareholders, directors, officers, employees or representatives shall be personally liable in the event any default or breach by the Company for any amount which may become due or on any obligations under the terms of this Agreement.
Representatives Not Individually Liable. No member, official, representative, or employee of the City shall be personally liable to DFR or any successor in interest in the event of any default or breach by the City for any amount which may become due to DFR or its successor or on any obligations under the terms of the Agreement. No member, representative, or employee of DFR shall be personally liable to the City in the event any default or breach by DFR for any amount which may become due to the City or on any obligations under the terms of this Agreement.
Representatives Not Individually Liable. No council member, official, representative, or employee of the Town shall be personally liable to Xxxxx or any successor in interest in the event of any default or breach by the Town for any amount which may become due to Xxxxx or successor or on any obligations under the terms of the Agreement. Except for the Guarantor, no officer, director, representative, or employee of Xxxxx shall be personally liable to the Town in the event any default or breach by Xxxxx for any amount which may become due to the Town or on any obligations under the terms of this Agreement.

No member, official, representative, or employee of the City or TIRZ shall be personally liable to Developer or any successor in interest of either of them in the event of any default or breach by the City or TIRZ for any amount which may become due to Developer or successor of either of them or on any obligations under the terms of the Agreement. No partner, member, representative, or employee of Developer or any of their respective members shall be personally liable to the City or TIRZ in the event any default or breach by Developer for any amount which may become due to the City or TIRZ or on any obligations under the terms of this Agreement.
