Required Interfaces. (i) The Company and the Servicer shall identify, prior to the Servicing Start Date, the Systems interfaces required to be sustained between the Company and the Servicer, in order for the Services to operate in accordance with this Agreement following the Servicing Start Date, which interfaces shall include all customary interfaces to support the data feeds set forth on Schedule 2.03(b)(viii) and all interfaces necessary to facilitate receipt of Application information and Credit Reporting Agency information immediately following a Prequalification Request. The Company and the Servicer shall maintain such interfaces, as applicable, and cooperate in good faith with each other in connection with any modifications to such interfaces as may be requested by the other Party from time to time. The Servicer shall use commercially reasonable efforts to include interfaces to support additional existing credit data feeds, provided that the Company notifies the Servicer of any such additional credit data feeds, (****), and provides the Servicer with reasonable time after such notice to implement interfaces to support such additional credit data feeds, and provided further the Servicing Start Date shall not be delayed on the basis of the lack of such additional interfaces to support credit data feeds. (ii) Each of the Company and the Servicer agrees to maintain at its own expense its respective Systems interfaces so that the operation of the Systems as a whole at all times provides the Company and Cardholders with System features and functionality (including reporting, analysis, modeling and account management features and functionality) that have been mutually agreed by the Parties in accordance with this Agreement.

Required Interfaces. (i) The NMG Companies and Bank shall identify, prior to the Effective Date, the Systems interfaces required to be sustained among the NMG Companies and Bank. The NMG Companies and Bank shall maintain such interfaces and cooperate in good faith with each other in connection with any modifications to such interfaces as may be requested by either Party from time to time. (ii) Each of the NMG Companies and Bank agrees to maintain at its own expense its respective Systems interfaces so that the operation of the Systems as a whole is at all times no less functional than prior to the Effective Date. Bank agrees to provide sufficient personnel to support the Systems interfaces required to be sustained among the NMG Companies and Bank.
Required Interfaces. The FDS Companies and Bank shall identify, prior to the Effective Date, the Systems interfaces required to be sustained between the FDS Companies and Bank. The FDS Companies and Bank shall maintain such interfaces and cooperate in good faith with each other in connection with any modifications to such interfaces as may be requested by either Party from time to time. Each of the FDS Companies and Bank agrees to maintain at its own expense its respective Systems interfaces so that the operation of the Systems as a whole is at all times no less functional than prior to the Effective Date.

The Bank agrees to provide sufficient personnel to support the Systems interfaces required to be sustained among the Company and the Bank.
Required Interfaces. (i) Pier 1 and Bank have identified the Systems interfaces required to be sustained among Pier 1 and Bank. Pier 1 and Bank shall maintain such interfaces and cooperate in good faith with each other in connection with any modifications to such interfaces as may be requested by either Party from time to time. (ii) Each of Pier 1 and Bank agrees to maintain at its own expense its respective Systems interfaces so that the operation of the Systems as a whole is at all times no less functional than prior to the Effective Date. Bank and Pier 1 agree to provide sufficient personnel to support the Systems interfaces required to be sustained between Pier 1 and Bank.
Required Interfaces. The Macy’s Companies and Bank shall maintain the interfaces that were sustained between the Macy’s Companies and Bank immediately prior to the Effective Date (as such interfaces are modified in compliance with Section 7.4 in connection with the Systems Conversion) and shall cooperate in good faith with each other in connection with any modifications to such interfaces as may be requested by either Party from time to time. Subject to the provisions of Schedule 7.4(a)(ii) with respect to costs and expenses incurred in connection with the Systems Conversion, each of the Macy’s Companies and Bank agrees to maintain at its own expense its respective Systems interfaces so that the operation of the Systems as a whole is at all times no less functional than prior to the Effective Date.

The Bank shall use commercially reasonable efforts to include interfaces to support additional existing credit data feeds, provided that the Company notifies the Bank of any such additional credit data feeds and provides the Bank with reasonable time after such notice to implement interfaces to support such additional credit data feeds, and provided further that neither the Launch, nor the Systems Conversion Date, as applicable shall be delayed on the basis of the lack of such additional interfaces to support credit data feeds. (ii) Each of the Company and the Bank agrees to maintain at its own expense its respective Systems interfaces so that the operation of the Systems as a whole at all times provides the Company and Cardholders with System features and functionality (including reporting, analysis, modeling and account management features and functionality) that are (1) at least equivalent to Systems features and functionality available to the Bank’s retail partners and cardholders with respect to the Comparable Partner Programs), (2) no less functional than is customary and in any event including all functionality of the type currently in place between the Bank and the Xxxx Group in connection with the Credit Card program of the Xxxx Group and (3) permit the acceptance of all Company Credit Cards in all Company Channels as to which such acceptance is required by the Company in accordance with this Agreement. Each Party, at its own cost, shall maintain, modify and implement the interfaces required to support the features and functionalities mutually agreed by the Parties from time to time.
