Reseller Agreement. A counterpart of the Reseller Agreement executed by Seller; and
Reseller Agreement. In the exercise of its resale rights under the Reseller Agreement, Trademark Licensee may use and display Trademark Licensor’s Marks to identify and market the Trademark Licensor’s Products only on (i) business cards and stationery of Trademark Licensee indicating that it is an authorized independent reseller for Trademark Licensor; (ii) marketing materials prepared by Trademark Licensor and delivered to Trademark Licensee relating to the Trademark Licensor Products; and (iii) marketing materials prepared by Trademark Licensee and approved by Trademark Licensor in writing.
Reseller Agreement. Each of the parties hereto agrees that because the Reseller Agreement is among the Assets being sold to the Company hereunder, any rights of Assignor and its affiliates arising thereunder shall terminate on the Closing Date.
Reseller Agreement. Any distribution of the Product by PSW to Resellers, whether for further distribution on a stand-alone basis or for use in conjunction with Resellers' computer application programs, shall be pursuant to the terms and conditions of the PSW's Reseller agreement in the form attached hereto as Schedule C or to a form that contains the minimum terms and conditions of and is no less restrictive in protecting CCSI's interests than the Reseller agreement attached hereto as Schedule C. PSW agrees to report to CCSI any known or suspected violation(s) of the Reseller agreement and to reasonably cooperate with CCSI in any enforcement actions taken by CCSI. If a conflict arises between Schedule C and any other Reseller agreement, the terms of Schedule C shall prevail. Resellers shall be bound by the restriction contained in Section 2.5.
Reseller Agreement. Assignor has not materially breached any of its obligations under the Reseller Agreement as of the date hereof.
Reseller Agreement. The Company has not materially breached any of its obligations under the Reseller Agreement as of the date hereof.
Reseller Agreement. Any contract, arrangement or understanding between the Registrar and the Reseller for a Reseller Licence must contain a provision which requires the Reseller to comply with the Published Policies.
Reseller Agreement. The Registrar must enter into a written agreement with each Reseller which must contain provisions that:
16.4.1. are compatible with the terms of this Agreement and ensure that the Reseller does not do or omit to do anything that would be a breach of this Agreement, and in particular impose the same obligations upon the Reseller as imposed by the Registry upon the Registrar as set out in clauses 6 (Warranties), 8 (General Obligations of Registrar), 13 (Transfer between Registrars), 14 (Non-‐Solicitation of Registrants), 15 (Registrar’s Other Obligations),16 (Control of Resellers), 17 (Privacy and Personal Information), and 18 (Intellectual Property Rights) (all with the appropriate changes made);
16.4.2. require the Reseller to comply with the Published Policies and Code of Practice (if applicable), as amended from time to time;
16.4.3. oblige the Reseller to include the Registrant Agreement Mandatory Terms in its Registrant Agreement;
16.4.4. allow for the transfer of Domain Names to another Accredited registrar -‐ voluntarily by the Reseller, or through a forced transfer as described in clause 5.11.3;
16.4.5. oblige the Reseller to indemnify the Registry in the same terms as clause 21.9 (with the appropriate changes made); and
16.4.6. oblige the Reseller to impose these obligations on its Resellers in turn.
Reseller Agreement. ASP shall ensure that each Reseller is subject to a ------------------ binding written agreement with ASP that includes provisions consistent with the material substance of Sections 2.02, 3, 4, 5.02, 5.04, 8, 9, 10 and 11 and such agreements must be materially no less protective of COREL's rights in the Software than are the terms and conditions of this Agreement. 3. Reseller Agreement. Verizon has been advised by Verizon Wireless that (i) Verizon Wireless has received the Company’s “Application for Reseller Status” and (ii) if that application is approved by Verizon Wireless in accordance with its standard practices, then Verizon Wireless will be prepared at the Effective Time to enter into a reseller agreement with the Company for a two year term on Verizon Wireless’s otherwise standard terms and conditions as of the date of execution of such reseller agreement (including, without limitation, those related to volume of business); provided that there is no material change in the information set forth in the Company’s “Application for Reseller Status” from the time of its submission through the time of execution of such reseller agreement.
