Resellers. Company Authorized Resellers and distributors do not have the right to make modifications to this Agreement or to make any additional representations, commitments, or warranties binding on Company.
Resellers. Enrolled Affiliate must choose and maintain a Reseller authorized in the United States. Enrolled Affiliate will acquire its Licenses through its chosen Reseller. Orders must be submitted to the Reseller who will transmit the order to Microsoft. The Reseller and Enrolled Affiliate determine pricing and payment terms as between them, and Microsoft will invoice the Reseller based on those terms. Throughout this Agreement the term “price” refers to reference price. Resellers and other third parties do not have authority to bind or impose any obligation or liability on Microsoft.
Resellers. All Contractor’s Florida resellers authorized to provide commodities under this ACS can be found on the Department’s contract website. The Resellers are approved to provide sales and service support to State of Florida Customers. Contractor’s may request to add/delete Resellers to the ACS on a quarterly basis, by the 15th of each month listed: January, April, July, October of each year. Contractor’s must receive written approval from the Department prior to adding Resellers to this ACS. The Contractor’s resellers participation will be in accordance with the terms and conditions set forth in this ACS and the aforementioned Master Agreement.
Resellers. The Contractor may use resellers in order to provide equipment and services. All resellers shall be the direct responsibility of the Contractor. The Contractor is responsible for all liability, terms, and conditions within Master Agreement and this Contract. The Contractor’s resellers’ participation will be in accordance with the terms and conditions set forth in the aforementioned Master Agreement and this Contract. If a reseller is authorized to conduct business on behalf of the Contractor and the reseller is to receive compensation from the Contractor for its services, then any dispute between the Contractor and the reseller shall be resolved between the Contractor and the reseller. The State of Florida is not a party to any agreements entered into between the Contractor and its resellers. Resellers. If You make any purchases through an authorized Reseller of Chaos:
a) Instead of paying us, You will pay the applicable amounts to the Reseller, as agreed between You and the Reseller. We may suspend or terminate Your rights to Use Products if We do not receive the corresponding payment from the Reseller.
b) Your order details (e.g., the Products You are entitled to Use, the number of End Users, the Subscription term, etc.) will be as stated in the order placed with Us by the Reseller on Your behalf, and Reseller is responsible for the accuracy of any such order as communicated to Us.
c) If You are entitled to a refund under this Agreement, then unless We otherwise specify, We will refund any applicable fees to the Reseller and the Reseller will be solely responsible for refunding the appropriate amounts to You.
d) Resellers are not authorized to modify the terms of this Agreement or make any promises or commitments on Our behalf, and We are not bound by any obligations to You other than as set forth in this Agreement.
Resellers. When Customer utilizes a Reseller, (i) Customer will separately document its financial terms with the Reseller, e.g., price and payment terms; (ii) the Reseller will contract with Good through use of the Order Form for resale and Good will look to the Reseller for payment; and (iii) all other terms (e.g., usage, support, etc.) will be governed by this Agreement, if Good accepts the Order Form.
