Residence Life Functions. (i) Pursuant to the terms of each applicable Lease, the University’s Office of Residence Life will manage and provide programming for undergraduate Student Residents at the Tenant Facilities in a manner determined from time to time by the University in its sole and absolute discretion; provided that, without limiting the foregoing discretion, the University agrees to provide a residence life function at the Tenant Facilities that is similar to the residence life function provided by the University’s Office of Residence Life at the University Facilities. As of the date of this Agreement, the University and the Tenants agree that (i) the residence life function provided by the University’s Office of Residence Life at the University Facilities is comprised of the duties and functions set forth Exhibit C-1 attached hereto and (ii) the Residence Life Staff at the Tenant Facilities will perform the duties set forth on Exhibit C-1 until such time as Exhibit C-1 is amended pursuant to this Section 2.5(c). (ii) Subject to its obligation to provide a residence life function at the Tenant Facilities that is similar to the residence life function provided at the University Facilities, the University shall have the right to modify Exhibit C-1 from time to time in its sole and absolute discretion in order to increase or decrease the scope of the residence life function provided at the Tenant Facilities, upon prior written notice to the Tenants. With respect to New Central, in the event that the University materially changes the duties and obligations of the Residence Life Staff set forth on Exhibit C-1, the University and the applicable Tenant shall meet to discuss an appropriate increase or decrease to the Residence Life Fee provided for under Section 3.10 of the New Central Lease to account for such increase or decrease to the duties and obligations of the Residence Life Staff at New Central. In the event that the University and the applicable Tenant cannot mutually agree on an appropriate modification to the Residence Life Fee under the New Central Lease within ten (10) business days of the University providing written notice to the applicable Tenant of a modification to Exhibit C-1, then the parties shall resolve the dispute pursuant to Dispute Resolution in accordance with Article IV of this Agreement. (iii) The University agrees to cooperate with the Tenants in good faith to address any concerns that Tenant has with the performance of (A) the Residence Life Staff ...

  • MANAGEMENT FUNCTIONS B.1 The Association recognizes that the management of the Hospital and the direction of working forces are fixed exclusively in the Hospital and shall remain solely with the Hospital except as specifically limited by the provisions of this Agreement and, without restricting the generality of the foregoing, the Association acknowledges that it is the exclusive function of the Hospital to: (a) maintain order, discipline and efficiency; (b) hire, assign, retire, discharge, direct, promote, demote, classify, transfer, lay- off, recall, and suspend or otherwise discipline nurses, provided that a claim of discharge or discipline without just cause may be the subject of a grievance and dealt with as hereinafter provided; (c) determine, in the interest of efficient operation and high standards of service, job rating and classification, the hours of work, work assignments, methods of doing the work, and the working establishment for the service; (d) generally to manage the operation that the Hospital is engaged in and, without restricting the generality of the foregoing, to determine the number of personnel required, methods, procedures, and equipment in connection therewith; (e) make, enforce, and alter from time to time reasonable rules and regulations to be observed by the nurses which are not inconsistent with the provisions of this Agreement. B.2 These rights shall not be exercised in a manner inconsistent with the provisions of this Agreement.

  • Residence Community Living Standards The Residence Community Living Standards (“RCLS”) forms a part of this Agreement. It details the rights, responsibilities, and privileges of Residents as well as the residence conduct process. Each Resident is responsible for reading, understanding, and adhering to the terms outlined within the RCLS. The Manager and the Institution may amend the terms of the RCLS from time to time and may post the amendments in the Residence. Failure to abide by the RCLS may result in eviction from Residence and termination of this Agreement as per the violations and sanctions outlined in the RCLS, and as stated in section 8.01(d).   • REGULATORY ADMINISTRATION SERVICES BNY Mellon shall provide the following regulatory administration services for each Fund and Series:  Assist the Fund in responding to SEC examination requests by providing requested documents in the possession of BNY Mellon that are on the SEC examination request list and by making employees responsible for providing services available to regulatory authorities having jurisdiction over the performance of such services as may be required or reasonably requested by such regulatory authorities;  Assist with and/or coordinate such other filings, notices and regulatory matters and other due diligence requests or requests for proposal on such terms and conditions as BNY Mellon and the applicable Fund on behalf of itself and its Series may mutually agree upon in writing from time to time; and

  • Association Business Leave A total of ten (10) days Association Business Leave shall be allowed by the district on condition that a competent qualified substitute employee is available and willing to serve. The designated representative of the Association and officers of the Association shall be allowed to take such leave for conducting Association Business or to attend state or local conferences. Substitutes hired by the District to cover such absences shall be paid for by the Association. At least five (5) normal business days advance notification of intent to take such leave shall be given to the Superintendent by the Association President.

  • Disaster Services In the event of a local, state, or federal emergency, including natural, man-made, criminal, terrorist, and/or bioterrorism events, declared as a state disaster by the Governor, or a federal disaster declared by the appropriate federal official, Grantee may be called upon to assist the System Agency in providing the following services: i. Community evacuation; ii. Health and medical assistance; iii. Assessment of health and medical needs; iv. Health surveillance; v. Medical care personnel; vi. Health and medical equipment and supplies; vii. Patient evacuation; viii. In-hospital care and hospital facility status; ix. Food, drug and medical device safety; x. Worker health and safety; xi. Mental health and substance abuse; xii. Public health information; xiii. Vector control and veterinary services; and xiv. Victim identification and mortuary services.

  • Association Business Duly authorized representatives of the Association shall be permitted to transact official Association business on school property at all reasonable times provided that such activities shall not interfere with normal school operations.
