Common use of Resignations and Releases Clause in Contracts

Resignations and Releases. The Corporation shall deliver to Purchaser written resignations and releases, effective as of the Closing Date, of all of the officers and directors (or equivalent) of the Corporation as set forth in Section 6.5 of the Corporation Disclosure Schedules.

(b) Purchaser shall deliver to the Vendor full and final releases of all directors and officers of the Corporation Disclosure Schedulesfor any Claims or Losses arising as a result of their involvement with the Corporation for any period of time on or prior to the Closing Date.
