Responsibilities of the Licensor. 6.1 The Licensor agrees to:
6.1.1 provide access and allow use of the Licensed Product in accordance with the provisions as laid down in this Agreement and its Schedules attached hereto
6.1.2 allow nominated staff of the Licensee to act as Authorised Demonstrators in accordance with the provisions as laid down in this Agreement for the purpose of publicising and promoting the Licensed Product to target audiences.
6.1.3 provide the Licensee, 30 days before commencement of this Agreement, with information sufficient to enable access to the Licensed Product in accordance with the terms in this Agreement;
Responsibilities of the Licensor. 4.1 OUP will use all reasonable efforts to ensure access to and use of the Licensed Work in accordance with the provisions of the this license.
4.2 On request OUP will provide the Licensee with a copy of the Licensed Works as set out in this agreement (Appendix B) in a mutually agreed format for use either as a "back up" copy or for local loading of the Licensed Works on the Licensees own Secure Network and/or Secure Server of licensee's choice.
4.3 On request OUP will provide the Licensee with such Metadata for the Licensed Works as the Licensee requires and that OUP is able to supply. OUP will make every reasonable effort to supply Metadata for the Licensed Works in an appropriate format agreeable to both parties.
Responsibilities of the Licensor. 7.1) The Publisher warrants that it is the sole owner of intellectual property and copyright of Editorials Content, having acquired the authors’ rights for use of their material and in particular the reproduction and distribution through any media or by any means, including electronic. It requires, therefore, to indemnify and hold harmless the Licensee from any claims of third parties which point to possible violations of copyright, in relation to Editorial Content, of which the Licensee may make legitimate use under the terms of this contract.
7.2) The Licensor agrees to make available to the Licensee Editorial Content covered by the license, to its server or servers of third parties in agreed formats together with the publication of the same printing.
7.3) The Publisher reserves the right to withdraw at any time Editorial Content or parts of the licensed publications in respect of which it no longer holds the publishing rights or in the case of being seriously afraid of infringing copyright. If the parts withdrawn represent more than 10% of the publication then the Publisher agrees to reimburse the Licensee accordingly.
7.4) The Publisher undertakes to ensure that the tools used, either owned directly or owned by third party service providers, ensure that the Server has sufficient capacity and rate of connectivity to provide the Licensee with a quality of service consistent with current standards in the World Wide Web on-line information provision industry and that its services are of high technological level, that is always up-to- date and in good working condition. The Licensor also commits to ensure that the Licensee has access to Editorials Content round the clock unless suspended for maintenance, or interruption for failure and/or force majeure. In such cases of suspension and /or break the Licensor will ensure that the Licensee have access to Editorial Content as soon as possible.
Responsibilities of the Licensor. Licensor agrees to publish the Eligible Articles as Open Access Material in accordance with the provisions of Schedule 6 – Open Access Material Workflows and Services.
Responsibilities of the Licensor. 1. Licensor will be responsible for processing, completing and obtaining the above referenced foreign and domestic patents.
Responsibilities of the Licensor. The Licensor shall, at its cost:
(a) provide lighting and access to existing washroom facilities during the Term;
(b) provide garbage cans;
(c) notify the public of the cancellation of the Event and any changes to fireworks display time and/or date through the Licensor’s social media accounts and issuance of a public service announcement to local media.
Responsibilities of the Licensor a) On an ongoing basis, the Licensor shall provide to the Licensee access to TalFinder to enable the Licensee to operate the Job Board in the Region for the Sector.
b) Access to any and all upgrades, modifications or interim maintenance release versions of TalFinder. Any such upgrades, modifications or interim maintenance release versions of TalFinder, to which the Licensee is provided access, shall be subject to the terms, conditions and obligations of this Agreement.
c) Provide the Licensee with all user and instruction manuals developed by the Licensor for the TalFinder application. -------------------------------------------------------------------------------- 1 --------------------------------------------------------------------------------
d) Provide hosting facilities for the Job Board, with a tier one hosting facility. A tier one hosting facility would include AT&T and WorldCom.
e) For the first six months from the date that a Job Board is available to candidates to create profiles, the Licensor will provide all online help and customer service requirements.
f) The Licensor will provide and implement all initial design elements required to adapt TalFinder to reflect the Licensee's brand and to incorporate the name and positioning of the Job Board.
g) Licensor will provide Licensee with such training on the operation of TalFinder as Licensee may reasonably require.
h) Licensor will assist Licensee in the development of sales kits and user training materials.
i) Licensor will be responsible for ensuring that the Job Board is registered and or posted on relevant Internet directories, search engines, and similar Internet marketing opportunities.
j) Licensor will assist Licensee in direct sales and presentations to potential employer users.
k) Licensor will assist Licensee in developing alliances and partnerships with industry specific associations, universities, colleges and such other organizations as Licensee may determine.
Responsibilities of the Licensor. 9.1 During the Initial Term and any Renewal Term, the Licensor will provide the following support and resources to the Licensee:

Responsibilities of the Licensor. A. Agreement to Operate the Facility. The Licensor agrees to grant to the Licensee for 12 months the right to establish, manage, and operate a cafeteria in the American Embassy to prepare and sell food, nonalcoholic beverages and such other products as the Licensor may authorize.
B. The Licensor will provide space for operations under the Agreement, as indicated. It will provide adequate ingress and egress, including a reasonable use of existing elevators, corridors, passageways, driveways, and loading platforms. The Licensor will provide space heating, space lighting, ventilation, and the utilities. In addition, the licensor will:
(1) Make such improvements and alterations as it may deem necessary, including improvements and alterations necessary to conform to applicable sanitary requirements.
(2) Maintain and repair building structure in areas assigned for the Licensee’s use, including: • painting and redecoration; • maintenance or gas, water, steam, sewer, and electrical lines; • ventilation, electrical lighting fixtures (including relamping); • floors and floor coverings; and • walls and ceilings. The Licensee shall bear the expenses of repairs necessary due to negligence on the part of the Licensee or its employees.
(3) At its own expense, provide, install, and permit the Licensee to use the equipment listed, and additional equipment of a similar type when required for any expansion approved by the Licensing Officer. The Licensor will replace equipment that it has provided, as it deems necessary. Subject to adequate operation and handling of equipment by the Licensee, the Licensor will replace component parts of, and make repairs to such equipment.
C. Licensor-owned Equipment. Licensor-furnished equipment is listed in Exhibit B. The Licensor will provide all major equipment items, flatware, china and glassware, along with all consumable cleaning supplies.
