Responsibility for Fees. Should TLO take any of Tanks out of service for regulatory requirements, repair, or maintenance, TRMC shall be solely responsible for any alternative storage or product movements as required and all fees associated with such movements. TRMC shall not be reimbursed for any outside storage or transportation costs associated with any alternative movements that result from foregoing requirements. TRMC shall not be responsible to TLO for any throughput fees and dedicated tank storage fees associated with any Tanks taken out of service during the period that such Tank is out of service.

The Client is responsible for the payment of these fees which are payable no later than three working days after completion or 28 days after exchange of contracts on the Property, whichever is sooner. In practice, the Agent will usually submit its account to the Client’s solicitors/conveyancer for settlement in accordance with the above terms on the Client’s behalf. If the account remains unpaid after the due payment date the Agent reserves the right to charge daily interest on the outstanding balance at an annual rate of interest of 4% above Bank of England base rate from the due payment date until payment is received in full.

With respect to each inclusion of shares of ESI Stock in a registration statement pursuant to Section 18(b) hereof, ESI agrees to bear all fees, costs and expenses of and incidental to such registration and the public offering in connection therewith; provided that Seller shall bear his own attorneys' fees and a pro rata share of the underwriting, broker or other selling discounts and commissions.

Our Services & Additional Services When you instruct us we will take prompt steps to prepare the property for marketing by producing a full description with accompanying photography and actively promote the property on our usual websites. We will also assist you by acting as an intermediary between yourself and potential buyers helping you consider offers and managing the sale process on your behalf. If you have requested any additional services these will also be provided. When you instruct us to provide to you, or arrange for others to provide to you, any additional services, we may receive a fee or commission. We are entitled to retain any such commission or fee received by us in connection with such additional services.
