Responsibility for Use of Software. Licensee is responsible and liable for all uses of the Software and Documentation through access thereto provided by Licensee, directly or indirectly. Specifically, and without limiting the generality of the foregoing, Licensee is responsible and liable for all actions and failures to take required actions with respect to the Software and Documentation by its Authorized Users or by any other Person to whom Licensee or an Authorized User may provide access to or use of the Software and/or Documentation, whether such access or use is permitted by or in violation of this Agreement.
Responsibility for Use of Software. You are responsible and liable for all uses of the Software and Documentation through your access thereto, directly or indirectly. Specifically, and without limiting the generality of the foregoing, you are responsible and liable for all actions and failures to take required actions with respect to the Software and Documentation by your Authorized Users or by any other Person to whom you or an Authorized User may provide access to or use of the Software and/or Documentation, whether such access or use is permitted by or in violation of this Agreement.

You understand and hereby acknowledge that use of certain Software and/or Services in your Vehicle may create a danger or distraction, and you further acknowledge that neither Nissan nor its Service Providers may be liable for any violation of distracted driver law, accident, damage, death, injury, or other serious consequences associated with the use of Software or Services in connection with your Vehicle.

Furthermore, You are solely and exclusively responsible for any and all costs and expenses associated with the purchase, licensing, or use of any SAP Products or any other third party products or services and, in deploying, testing, running, or utilizing the Software, You are solely and exclusively responsible for any impact that the Software may have on the costs of SAP Products or any other third party products or services payable by You.

Furthermore, in deploying, testing, running, or utilizing the Software, Licensee is solely and exclusively responsible for any impact that the Software may have on the costs of SAP Products or any other Third Party products or services payable by Licensee.
Responsibility for Use of Software. Ordering Activity is responsible and liable for all uses of the Software through access thereto provided by Ordering Activity, directly or indirectly. Specifically, and without limiting the generality of the foregoing, Ordering Activity is responsible and liable for all actions and failures to take required actions with respect to the Software by any other Person to whom Ordering Activity may provide access to or use of the Software, whether such access or use is permitted by or in violation of this Agreement.

Specifically, and without limiting the generality of the foregoing, Customer is responsible and liable for all actions and failures to take required actions with respect to the Software and Documentation by its Authorized Users or by any other Person to whom Customer or an Authorized User may provide access to or use of the Software and/or Documentation, whether such access or use is permitted by or in violation of this Agreement.
Responsibility for Use of Software. End User is responsible and liable for all uses of the Software and Documentation through access thereto provided by End User, directly or indirectly. Specifically, and without limiting the generality of the foregoing, End User is responsible and liable for all actions and failures to take required actions with respect to the Software and Documentation by its Authorised Users or by any other Person to whom End User or an Authorised User may provide access to or use of the Software and/or Documentation, whether such access or use is permitted by or in violation of this XXXX.

(b) Licensee agrees that if it elects to use a Product for a purpose that would subject Licensee, its customers, or any Product to the application of Regulatory Laws or any other law, regulation or governmental policy, whether domestic or non-domestic, Licensee will be solely responsible for obtaining any required approvals and otherwise ensuring that the importation of the Products into or use of the Products in Licensee’s jurisdiction and ensuring that Licensee’s use of Products, including, without limitation, STAC Services, complies with all Regulatory Laws or other applicable laws, regulations, and policies, including, without limitation, related to data protection or data privacy. The burden of proof for safe use and handling of Products is entirely the responsibility of Licensee.
(c) PAS is a cloud-based software service and incurs compute and data storage fees from Seer’s cloud access provider. Upon advance written notice from Seer to Licensee, Seer may separately charge Licensee according to Xxxx’s then-current pricing for Licensee’s access and use of PAS on Seer’s cloud-based service. Licensee will pay Seer or its designee such amounts within thirty (30) days of invoice date.
(d) Licensee should copy and separately retain all content, information, and data (“Content”) to be analyzed by PAS and separately backup and/or retain copies of all Content generated by PAS. Seer does not guarantee or warrant that any Content Licensee may generate, store, or access through PAS will not be subject to inadvertent damage, corruption, loss, or removal, and Seer will not be responsible should such damage, corruption, loss, or removal occur. It is Licensee’s responsibility to maintain appropriate alternate backup of all Content. Licensee will comply with all applicable data privacy, transfer, security, and compliance laws, rules, and regulations.

Specifically, and without limiting the generality of the foregoing, Customer is responsible and liable for all actions and failures to take required actions with respect to the Software by its Authorized Users or by any other Person to whom Customer or an Authorized User may provide access to or use of the Software, whether such access or use is permitted by or in violation of this Agreement. In addition to the foregoing, Customer’s use of the Software is subject to Section 5.1(d) herein, and Revinate’s Reasonable Use Policy (the “Policy”) that restricts use of the Services by Customer in order to prevent abuse such as: (i) sending abusive or unsolicited communications; (ii) engaging in telemarketing or any other mass-texting activity not related to Customer’s Services; (iii) using automated texting (SMS or MMS) of any kind, other than those provided unless included in Customer’s Services, and (iv) sending the same text message to a large number of recipients via copy-paste or automation. In addition, with respect to the API, Customer’s usage is limited to 10 requests per minute maximum, 1,000 requests per day maximum, and 10,000 per month maximum, and with respect to SMS: 24 segments per Room per month. Any use of the Services in violation of the foregoing may result in termination of the Services at Revinate’s sole discretion.
