Common use of Responsibility for Use of Software Clause in Contracts

Responsibility for Use of Software. You are responsible and liable for all uses of the Software and Documentation through your access thereto, directly or indirectly. Specifically, and without limiting the generality of the foregoing, you are responsible and liable for all actions and failures to take required actions with respect to the Software and Documentation by your Authorized Users or by any other Person to whom you or an Authorized User may provide access to or use of the Software and/or Documentation, whether such access or use is permitted by or in violation of this Agreement.

Responsibility for Use of Software. You are responsible and liable for all uses of the Software and Documentation documentation through your access theretoyou provide, directly or indirectly. Specifically, and without limiting the generality of the foregoing, you are responsible and liable for all actions and failures to take required actions with respect to the Software and Documentation by your Authorized Users users or by any other Person third party to whom you or an Authorized User your users may provide access to or use of the Software and/or DocumentationSoftware, whether such access or use is permitted by or in violation of this AgreementXXXX.

Specifically, and without limiting the generality of the foregoing, you are Client is responsible and liable for all actions and failures to take required actions with respect to the Licensed Software Programs and Documentation by your its Authorized Users or by any other Person person to whom you Client or an Authorized User may provide access to or use of the Licensed Software Programs and/or Documentation, whether such access or use is permitted by or in violation of this Agreement.
