Responsible Practices. Buyer will (I) familiarize itself with any product literature or information Seller provides under Seller’s product stewardship program, including MSDS, (II) follow safe handling, use, selling, storage, transportation and disposal practices, including special practices as Buyer’s use of the Product requires and instruct its employees, contractors, agents and customers in these practices and (III) take appropriate action to avoid spills or other dangers to persons, property or the environment. If Buyer has failed to comply with any of its commitments under this Section 5, Seller will provide Buyer with thirty (30) days to cure such failure to comply. If Buyer does not cure such failure to comply within the thirty (30) day period, Seller may suspend Product delivery without liability for thirty (30) days (“Suspension Period”). Upon the end of the Suspension Period, if Buyer has not cured such failure to comply. Seller may cancel this Contract on fifteen (15) days notice unless Buyer agrees to indemnify Seller for all losses caused by such failure to comply.
Responsible Practices. 5.1. Buyer will (I) familiarize itself with any product literature or information Seller provides under Seller’s product stewardship program, including MSDS, (II) follow safe handling, use, selling, storage, transportation and disposal practices, including special practices as Buyer’s use of the Product requires and instruct its employees, contractors, agents and customers in these practices and (III) take appropriate action to avoid spills or other dangers to persons, property or the environment. Seller may cancel this Contract on 15 days’ notice if Buyer fails to comply with any of its commitments under this section.
5.2. Notwithstanding the provisions of Section 6 hereof, Xxxxx will indemnify Seller for all claims, damages and related costs, including reasonable attorney fees, arising out of Buyer’s sole non-compliance with any of its commitments under Section 5.1 above.
Responsible Practices. Customer will (i) be solely responsible for determining the suitability of Product in Customer’s formulations and applications prior to use, (ii) familiarize itself with any product literature or information Dow provides under Dow’s product stewardship program, including the SDS for each Product; (iii) adopt and follow safe and appropriate handling, storage, transportation, use, treatment and disposal practices with respect to the Product, and the containers thereof, including such special care and practices as Customer’s use of the Product requires including, without limitation, all such practices required by federal, state and local government statutes, rules, regulations or ordinances; (iv) provide appropriate warnings to, and instruct, its employees, independent contractors, agents and customers of the precautions and safe use practices required in connection with the unloading, handling, storage, use, treatment, transportation and disposal of the Product, and the containers thereof, including without limitation information contained in Dow’s most current SDS; and (v) comply with applicable health, safety, security and environmental laws and take action necessary to avoid spills or other dangers to persons, property or the environment. Dow may immediately suspend Product shipments and/or terminate this Contract on fifteen (15) days notice if Customer fails to comply with any of its commitments under this subsection.

Buyer will (i) familiarise itself with any product literature or information Seller provides under Seller’s product stewardship program, including SDS, (ii) follow safe handling, use, selling, storage, transportation, and disposal practices, including special practices as Buyer’s use of the Product requires, and instruct its employees, contractors, agents and Buyers in these practices and (iii) take appropriate action to avoid spills or other dangers to persons, property or to the environment.
3.2. Buyer shall not on-sell and/or supply the Products to any Third Party Buyer without the Seller’s prior written consent, which consent is in Seller’s sole discretion. In the event Seller gives such consent, any such on-sale and/or supply by Buyer will be conducted on the basis that (i) the respective transaction (on-sale and/or supply) will be conducted in Buyer’s name, and (ii) Buyer is solely and exclusively responsible and liable for that transaction vis-à-vis the Third Party Buyer. For the purposes hereof, “Third Party Buyer” means any entity that is not an affiliate of Buyer and buys (the) Product(s) from Buyer.
Responsible Practices. Buyer acknowledges that WCC has made available on its website product literature and information including Safety Data Sheets (SDS) that include any product ingredient hazardous composition, health, safety, fire and environmental hazards and warnings, first aid and accidental spill measures, handling, storage, protection and exposure guidelines related to the Products available for purchase. In addition, other documents such as Technical Data Sheets (SDS), Technical Information Bulletins (TIB), Technical Detail Drawings (TDD), and video material are available at xxxxxxxxxxxxxxxxx.xxx. You may find specific information for each product by using the search tool on the WCC website.

Purchaser acknowledges that Seller has furnished or made available, or will furnish or make available upon request, product literature or information, such as Safety Data Sheets, Product Data Sheets, and labels that include warnings, safety and health information related to the goods furnished hereunder. Purchaser shall: (a) familiarize itself with all such information; (b) adopt and follow safe handling, storage, transportation, use, treatment and disposal practices with respect to the goods; (c) instruct its employees, independent contractors, agents and customers of the precautions and safe use practices required in connection with the unloading, handling, storage, use, transportation and disposal of the goods furnished hereunder; and (d) comply with applicable safety and environmental Laws and take action necessary to avoid spills or other dangers to persons, property or the environment. Purchaser shall indemnify, defend and hold Seller harmless against any and all third- party causes of action, claims, liabilities, losses, costs, damages and expenses (including, without limitation, attorney’s fees and expenses) to the extent arising out of Purchaser’s failure to comply with any of its commitments, representations and/or warranties under this paragraph.

Buyer shall: (a) familiarize itself with such information; (b) adopt and follow safe handling, storage, transportation, use, treatment and disposal practices with respect to the goods furnished hereunder, including, without limitation, special care and practices as Buyer’s use of the goods requires including, without limitation, all such practices required by applicable Laws; (c) instruct its employees, independent contractors, agents and customers of the precautions and safe use practices required in connection with the unloading, handling, storage, use, transportation and disposal of the goods furnished hereunder (including, without limitation, information contained in Seller’s most current MSDS); and (d) comply with applicable safety and environmental Laws and take action necessary to avoid spills or other dangers to persons, property or the environment. Seller may suspend goods shipments and/or cancel this Agreement on fifteen (15) days notice if Buyer fails to comply with any of its commitments under this Section 11. Buyer shall indemnify, defend and hold Seller harmless against any and all third party causes of action, claims, liabilities, losses, costs, damages and expenses (including, without limitation, attorneys' fees and expenses) to the extent arising out of Buyer’s failure to comply with any of its commitments under this Section 11.

3.2 Notwithstanding the provisions of Article 5 of this Contract, Buyer will indemnify Seller for all claims, damages and related costs, including reasonable attorney fees, arising out of Buyer’s noncompliance with any of its commitments under Article 3.1 above.
Responsible Practices. EW Polymer Group customarily provides sales and technical support assistance before, during and after the purchase process, and endeavors to provide accurate and helpful information to Customer. However, Customer shall be solely responsible for making a final determination as to the suitability and compatibility of EW Polymer Group’s product(s) and/or services for Customer's intended use. EW Polymer Group makes available information regarding the intended and recommended uses for its Product(s) and/or Service(s), as well as appropriate directions for use and relevant cautions, as required by applicable law, and as may be customary within the industry. It is the responsibility of the Customer to review such information, make it available to users of the Product(s), and ensure compliance with all applicable building, engineering, workplace safety and environmental protection regulations. Customer assumes all responsibility for proper use of EW Polymer Group Products(s) and/or Service(s). Customer also assumes all risk and liability from improper use of product(s) and/or service(s), or for or failure to follow usage instructions, warnings and cautions, or reasonable and customary practices for using and handling chemical materials.
