Restated Operating Agreement. The Company, the Investor, and each of the other members of the Company shall have executed and delivered the Restated Operating Agreement.
Restated Operating Agreement. The Restated Operating Agreement shall have been executed by the Subscriber and delivered to the Company.

The Parties agree to amend the Restated Operating Agreement to permit each of the Philanthropiece Foundation, Inc., Ian Xxxxxxx Xxxxxxxxx Trust Under the 1996 Annuity Trust and the Stella Xxxxxxxxx Xxxxxxxxx Trust under the 1996 Annuity Trust to transfer Units between each of the foregoing.
Restated Operating Agreement. The Company shall have prepared the Restated Operating Agreement for execution on or prior to the First Additional Closing, which shall continue to be in full force and effect as of the Closing, and at the First Additional Closing, shall have been entered into among the Company, the Purchasers at the First Additional Closing and the other shareholders of the Company named as parties thereto.
Restated Operating Agreement. The Restated Operating Agreement shall be in full force and effect upon the Closing.
Restated Operating Agreement. Buyer and Lithia shall have entered into a Restated Operating Agreement in substantially the form attached as Exhibit A.
