During the Term and any transition period following the expiration or termination of this Agreement, the Company shall not knowingly solicit (excluding general solicitations, publications and advertisements not specifically targeted to any existing Zix customers or their affiliated entities) to provide the Zix Software/Service to any existing Zix customers or their affiliated entities, or contract to provide the Zix Software/Service to any existing Zix customers or their affiliated entities. Notwithstanding the preceding sentence, if the Company desires to solicit (other than the permitted solicitations), or contract with, any of the Zix referenced customers (or affiliates), then the Company may contact Zix to discuss the matter, following which the parties might determine to negotiate a mutually agreeable resolution.

Except as set forth in the three preceding sentences, nothing herein shall prevent BRLI or its subsidiaries or its affiliated entities*** from performing such tests for anyone other than the Restricted Customers.

For the avoidance of doubt, any projects that have not been quoted prior to the March 24, 2014 pipeline report and are received, initiated or quoted after the March 24, 2014 pipeline report shall not be subject to the restrictions placed on Restricted Customers in Section 4(f) of this Agreement. Restricted Customers. Xxxxxxx.xxx shall not license Trio either -------------------- alone or combined with any other software and/or hardware to any of the following companies for a period of two (2) years commencing on the date that Xxxxxxx.xxx exercises the Option to Purchase: Motive, Xxx.xxx, Expert City, XxXxxxXxxx.xxx, Hot Dispatch, XXXxxxxxx.xxx, Experts Exchange, XXX.xxx, PTHelpOnline, and Xxxxxxxxx.xxx.
Restricted Customers. (a) Each Party agrees and acknowledges that Exhibit B and Exhibit D set forth the respective X-Spine Restricted Customers and Zimmer Restricted Customers, as of the Effective Date.
(b) Beginning on December 31, 2014, each Party shall update and deliver its respective list of Restricted Customers within thirty (30) days of June 30th and December 31st of each year after the Effective Date as follows:
(i) During 2014 and 2015, each Party shall remove from its list of Restricted Customers any customer who has not purchased, acquired, ordered or utilized in surgery at least (A) fifty thousand dollars ($50,000) of products (including the Products and any other products sold by such Party) or (B) twenty- five thousand dollars ($25,000) of Products from such Party or its Marketing Partners during the twelve (12) month period immediately preceding the applicable June 30th or December 31st date.
(ii) During 2016 and for the remainder of the Distribution Term (and any applicable Transition Period), each Party shall remove from its list of Restricted Customers any customer who has not purchased, acquired, ordered or utilized in surgery at least twenty-five thousand dollars ($25,000) of Products from such Party or its Marketing Partners during the twelve (12) month period immediately preceding the applicable June 30th or December 31st date.
(iii) Subject to clause (iv) below, a Party may add to its list of Restricted Customers any customer who has purchased, acquired, ordered or utilized in surgery at least twenty-five thousand dollars ($25,000) of Products from such Party or its Marketing Partners during the twelve (12) month period immediately preceding the applicable June 30th or December 31st date. In the event that both Parties add the same customer to their respective lists of Restricted Customers, the Parties agree to take commercially reasonable efforts to equitably resolve the status of such customer.
(iv) Neither Party may add a customer to its list of Restricted Customers if such customer is already included (and maintained according to this Section 2.2(b)) on the Restricted Customer list of the other Party. All dollar amounts referred to in this Section 2.2(b) are to be defined by end user pricing.
(c) X-spine represents and warrants that none of the customers listed in Exhibit B are currently purchasing, acquiring or ordering products from Zxxxxx Marketing Partners.

If BRLI shall acquire a majority ownership or control interest during the Restricted Period in another testing laboratory which at the time of acquisition is performing Immunohistochemistry testing for any Hematology or Oncology specialty practice or any breast centers or pathology practice management companies, it can continue to perform such testing for such practices after the acquisition but shall not perform such testing after the acquisition and during the Restricted Period for any other Hematology or Oncology speciality practice or any other breast centers or pathology practice management companies. Except as set forth in the three preceding sentences, nothing herein shall prevent BRLI or its subsidiaries or its affiliated entities*** from performing such tests for anyone other than the Restricted Customers.
