Restrictions and Regulations. EMPLOYEE agrees that any Shares of ELCOM's ---------------------------- common stock purchased under this Stock Option Agreement will be subject to the restrictions and regulations outlined in this Agreement and that these SHARES may be subject to further restrictions and regulations. Said restrictions and regulations may be imposed at any time by ELCOM at the sole discretion of ELCOM and without the approval of EMPLOYEE. 5.1 In addition to the aforementioned restrictions, EMPLOYEE agrees that any Shares purchased by EMPLOYEE pursuant to this Agreement, shall be subject to all of the restrictions, regulations and non-dilution provisions of the ELCOM Private Placement Memorandum dated, July 12, 1996.

Restrictions and Regulations. ‌ This Lease Agreement, and the rights herein granted, shall be subject to any and all applicable federal, state and local rules, regulations, orders and restrictions which are now in force or which may hereafter be adopted by any duly authorized governmental agency with respect to Lessee's operation.
Restrictions and Regulations. (a) Licensee agrees to abide by any and all: (1) applicable rules, regulations, orders and restrictions which are not in force or which may be hereafter adopted by city with respect to the operations of Airport; (2) orders, directives or conditions issued, given or imposed by Executive Director with respect to the use of roadways, driveways, curbs, sidewalks and parking areas in and about said Airport; (3) applicable laws, ordinances, statutes, rules, regulations or orders of any ordinances, statutes, rules, regulations or orders of any governmental authority, federal, state or municipal, lawfully exercising jurisdiction over the Airport or Licensee's occupation or use of Airport; and (4) applicable rules and regulations of City related to commercial passenger vehicles operating at airport referred to in Section 13 hereinafter. Nothing herein contained shall be deemed to impair Licensee's right to contest any such rules, regulations, orders, restrictions, directives or conditions or the reasonableness thereof. City shall not be liable to Licensee for any damage to or for any diminution or ???? of Licensee's rights. (b) Subject to (d) below, Licensee, its employees, agents and representatives shall not in any manner pay, extend or give any type of consideration, compensation, gratuity or reward to any Airport skycap, portxx, xxarter, ticket or information booth person at Airport, or other curbside or terminal person at Airport, unless the latter be a uniformed employee of Licensee for which Worker's Compensation benefits are paid by Licensee and whose presence and activities on Airport property are approved by Executive Director. (c) City reserves the right to require Licensee's vehicles to stop at designated locations or use designated entry or departure routes so that City may inspect or count said vehicles and determine passenger loads. The Executive Director is also authorized to establish and construct a staging area for commercial vehicles providing ground transportation services. The Executive Director is authorized to require that all vehicles not actively loading or unloading passengers shall be parked in a City staging area and the right to charge a fee for use of such staging area is hereby reserved. Use of the staging area shall be limited to such times as the Executive Director may allow. (d) Nothing in this License Agreement shall be construed as authorizing Licensee to place starters, skycaps, porters, booth personnel, agents, or other person...
Restrictions and Regulations. 16.7.1 The operations conducted by Concessionaire pursuant to this Agreement shall be subject to: (a) any and all applicable rules, regulations, orders and restrictions which are now in force or which may be hereafter adopted by City, Board or CEO with respect to the operation of Airport; (b) any and all orders, directions or conditions issued, given or imposed by City, Board or CEO with respect to the use of the roadways, driveways, curbs, sidewalks, parking areas or public areas adjacent to the Premises; and (c) any and all applicable Laws, ordinances, statutes, rules, regulations or orders, including environmental, or any governmental authority, federal, state or municipal, lawfully exercising authority over Airport or Concessionaire's operations. The COMMISSION will not be liable to the Operator for any diminishing or deprivation of its rights under this Agreement due to the exercise of any such authority as provided above, nor will Operator be entitled to terminate the whole or any portion of this Agreement by reason thereof unless the exercise of such authority will so interfere with Operator's operation of the Parking Facilities in the exercise of its right under this Agreement as to constitute a termination in whole or in part of this Agreement by operation of law in accordance with the laws of the State of Michigan.

City shall not be liable to Licensee for any damage to, or for any diminution or deprivation of, Licensee's rights hereunder on account of the exercise of any such authority, or as may arise from Airport development or operation during the term of this License, unless the exercise thereof shall so interfere with Licensee's operations herein created as to constitute a termination, in whole or in part, of this License Agreement by operation of law. 13.3 Subject to this section, Licensee, its employees, agents and representatives shall not in any manner pay, extend or give any type of consideration, compensation, gratuity or reward to any Airport skycap, xxxxxx, starter, ticket or information booth person at Airport, or other curbside or terminal personnel at Airport. 13.4 Nothing in this License shall be construed as authorizing Licensee to place starters, skycaps, porters, booth personnel, agents, or other personnel on the curbs or sidewalks or in the terminals at Airport without first having obtained the written consent of Executive Director. 13.5 Licensee shall be solely responsible for any and all civil and/or criminal penalties assessed as a result of its failure to comply with any of these rules, regulations, restrictions, ordinances, statutes, laws, orders, directives and/or conditions.

County shall not be liable to Contractor for any damage to, or for any diminution or deprivation of Contractor’s rights hereunder on account of the exercise of any such authority as in this article provided, nor shall Contractor be entitled to terminate the whole or any portion of this Contract by reason thereof unless the exercise of such authority shall so interfere with Contractor’s operation of the parking facilities in the exercise of its rights under this Contract as to constitute a termination in whole or in part of this Contract by operation of law in accordance with the laws of the State of California.

Restrictions and Regulations. 1. All of the Joint Operator's operations and activities under this Agreement will be subject to: a. Any order, direction, or condition issued, given, or imposed by the State with respect to use of Airport roadways, driveways, curbs, sidewalks or parking areas, and public areas adjacent to Parking Facilities; and b. Any applicable ordinance, statute, rule, regulation, or operational orders, instructions, requirements or restrictions issued at ANC or FAI, or order of any governmental authority lawfully exercising authority over the Airport or Joint Operator's business activities under this Agreement. c. The Joint Operator will adhere to all applicable responsibilities of the federal airport security program set out in 49 CFR Part 1542 and the respective Airport Master Security Programs. The Joint Operator will coordinate any Airport security matter with the State. The Joint Operator will procure any required identification badges necessary for the Joint Operator's operations authorized under this Agreement. 2. The State will not be liable to the Joint Operator for any diminishing or deprivation of its rights under this Agreement due to the exercise of any such authority as provided above; nor will the Joint Operator be entitled to terminate any portion of this Agreement by reason thereof unless the exercise of such authority will so interfere with the Joint Operator's operation of the Parking Facilities and Shuttle Bus Service under this Agreement, so as to constitute a termination of this Agreement by operation in accordance with the laws of the State of Alaska.
