Restrictions on Communications. Neither the Broker-Dealer nor the General Agent, nor any of their directors, partners, officers, employees, registered persons, associated persons, agents or affiliated persons, in connection with the offer or sale of the Contracts, shall give any information or make any representations or statements, written or oral, concerning the Contracts, the Variable Accounts or the Trust other than information or representations contained in the Contract and Trust Prospectuses, statements of additional information and Registration Statements, or in reports or proxy statements therefor, or in promotional, sales or advertising material or other information supplied and approved in writing by the Distributor.

From the issue date of this RFP until an Offeror is awarded a contract and the award is published, Offerors are prohibited from communications regarding this RFP with the conducting Procurement Unit staff, evaluation committee members, or other associated individuals EXCEPT the State of Utah Division of Purchasing Procurement Officer overseeing this RFP. Failure to comply with this requirement may result in disqualification.

The Wholesale Servicer will not, and will not permit any of the Associates to, give any information or make any representations or statements, written or oral, concerning the In-Force Policies and Contracts to the Brokers-of-Record or the owners or beneficiaries thereof which are contrary to or inconsistent with the information contained in the In-Force Policies and Contracts themselves, the prospectuses and statements of additional information for the variable In-Force Policies and Contracts and/or in any reports or proxy statements therefor, or in promotional, product or advertising material or other information supplied and approved in writing by the MONY Parties. Wholesale Servicer and its Associates may not modify or represent that they are authorized to modify any such prospectus, statement of additional information or other materials authorized by the MONY Parties for use in connection with servicing the Policies and Contracts; provided that the Wholesale Servicer may review and comment on such materials as provided in the Administrative Services Agreement.

Restrictions on Communications i-Escrow may place banner advertising on the Co-Branded Site upon prior written approval of 2TheMart, which shall be at the discretion of 2TheMart. All advertising revenue arising from the banner ads shall be solely i-Escrow's. i-Escrow shall not run banner advertisements on the Co-Branded Site for any of 2TheMart's competitors. 2TheMart shall provide in writing, a list of companies they would like to exclude, including every time they wish to change this list.

Neither the Broker-Dealer nor the General Agent, nor any of their Personnel, registered persons, associated persons or affiliated persons, in connection with the offer or sale of the Product, shall give any information or make any representations or statements, written or oral, concerning the Product other than information or representations contained in the Product Prospectus, statements of additional information and Product Registration Statements, or in reports or proxy statements therefor, or in promotional, sales or advertising material or other information supplied and approved in writing by the Distributor.
Restrictions on Communications. PEX acknowledges that Noosh membership and End User information is proprietary and confidential. PEX will not disclose Noosh membership and End User information to any third party. No communications from PEX to any End User that accesses the PEX Service through the Noosh Service shall contain: (a) any hypertext links except to the PEX Service, or the Noosh Service, (b) any promotions for websites or services other than the Noosh Service, or (c) any advertising or third party branding. Notwithstanding the foregoing, PEX will not target an End User on behalf of a Noosh Competitor (as defined below) on the basis of their status as an End User.
