Restrictions on Licensor Clause Samples

Restrictions on Licensor. Licensor shall not grant others the Distribution Rights in the Territory other than explained in Section 2.3.

Restrictions on Licensor. Notwithstanding the grant of exclusive rights as expressly set forth in Section 2.1, Licensor and its Affiliates may use the Licensed Marks in the Territory with respect to uses that are solely directed outside the Territory, including where the use or communication by its very nature is accessible or observable from the Territory (e.g., website use directed to jurisdictions outside the Territory) or such use in the Territory is otherwise solely directed to the Holcim Business outside the Territory (e.g., trade shows or business meetings attended by Holcim or its Affiliates in the Territory solely for purposes of making sales or providing goods or services outside the Territory); provided, that such use is usual and customary in the trade, and at the reasonable request of SpinCo, Holcim shall reasonably cooperate to minimize any potential for confusion or mistake based on such use.

Restrictions on Licensor. During the Term, Licensor or any of its Affiliates shall not use any system or software or conduct any business (other than Lotteries) in the Territory that is competitive with the business of Licensee or competitive with the proposed business of the Licensee contemplated by this Agreement. ARTICLE FIFTEEN

Restrictions on Licensor. During the Term, Licensor shall not itself use or grant to any other person or entity any right or license to use any Licensed Mark, or any Trademark similar to or derivative of any Licensed Mark, in connection with the Licensed Products or any products similar to or competitive with the Licensed Products in the Territory.

Restrictions on Licensor. Licensor shall not itself, or grant others the right to, make, use, develop, offer to sell, sell, distribute or import Licensed Products during the Term in the Field of Use in the Territory under the Licensed Patents.

Restrictions on Licensor. During the Term, Licensor shall not grant to any other Person any right or license to use any Licensed M▇▇▇ to the extent such right or license relates to the use of robots and automation in the preparation of meals delivered to consumers.

Restrictions on Licensor. Licensor shall not grant others the Manufacturing, Distribution and Sales Rights in the Territory, and acknowledges that the Licensee may be operating and selling to customers in areas where Licensor is already operating.

Restrictions on Licensor. Licensor shall not grant others the Distribution Rights, or to make, use, offer to sell, or sell products based on the Distribution Rights, in the Markets in the Territory, unless Licensee does not meet the minimum sales quantity requirements set forth in Schedule 3 attached hereto. Licensor shall have the right to supply all products to be sold by Licensee hereunder based on the Distribution, and Licensor and Licensee shall attend a mid-year meeting each year to review Licensee’s compliance with the minimum sales quantity requirements then in effect.

Restrictions on Licensor. Licensor shall not itself, nor grant others the right to, use, offer to sell, sell, develop, or sublicense, the Technology during the Term in the Territory except as otherwise provided in this Agreement.
