Retail Merchandise Sample Clauses
Retail Merchandise. All merchandise located at the Hotels and held for sale to guests and customers of the Hotels, or ordered for future sale at the Hotels as of the Closing, including, without limitation, the inventory held for sale in any gift shop, pro shop or newsstand operated by Seller or any affiliate of Seller at the Hotels, but expressly excluding the F&B (the “Retail Merchandise”);
Retail Merchandise. All merchandise located at the Real Property and held for sale to guests and customers of at the Real Property, or ordered for future sale at the Real Property or stored offsite, as of the Closing, including, without limitation, the inventory held for sale in any gift shop, pro shop or newsstand operated by or on behalf of Seller or Operating Tenant at the Real Property, but expressly excluding the F&B (the “Retail Merchandise”);
Retail Merchandise. All merchandise located at the Hotel owned by WPPI and held for sale to guests and customers of the Hotel, including, without limitation, the inventory held for sale in any gift shop or newsstand operated by WPPI, any Affiliate of WPPI, or the Hotel Manager on behalf of WPPI at the Hotel, but expressly excluding the F&B (the “Retail Merchandise”).
Retail Merchandise. All merchandise for sale to guests and customers of the Hotel or the general public located at the Hotel (the “Retail Merchandise”);

With respect to the Asset, all merchandise owned by Seller or the Operating Lessee and located at the hotel or spa facility that has not been in inventory for more than one (1) year prior to the Closing Date, including, without limitation, any gift shop or newsstand maintained by Seller or the Operating Lessee (or by Manager on behalf of Seller or the Operating Lessee) and held for sale to guests and customers of the hotel or spa facility, or ordered in the ordinary course of business for future sale at the hotel or spa facility as of the Closing Date.
Retail Merchandise. The Merchandise to be sold and transferred to Purchaser at the Closing will represent substantially all of the material saleable merchandise in the stores on the Marketing Sites as of the Closing Date.
Retail Merchandise all merchandise located at the Property and held for sale at the Property and as sold and replenished in the ordinary course of business. Retained Liabilities: liabilities pertaining to any Terminated Contracts or Hotel Contracts not assumed by Purchaser, (b) the Franchise Agreement, Management Agreement and Tenant Lease, and (c) any liabilities with respect to the Transferred Property accruing prior to the Cut‑off Time, unless Purchaser receives a proration credit for such liability prior to the Cut-Off Time and agrees to assume same at closing under the PSA. Subject to Section 10.1(g) of this Agreement, all merchandise located at the Hotel, including, without limitation, any gift shop, pro shop or newsstand maintained by Seller or Manager, and held for sale to guests and customers of the Hotel, or ordered for future sale at the Hotel as of the Closing, but specifically excluding any tobacco or tobacco products (the “Retail Merchandise”);

With respect to each hotel Asset, all merchandise owned by the applicable Seller or the applicable Operating Lessee and located at the hotel or spa facility that has not been in inventory for more than one (1) year prior to the Closing Date, including, without limitation, any gift shop or newsstand maintained by the applicable Seller or Operating Lessee (or by a Manager on behalf of such Seller or Operating Lessee) and held for sale to guests and customers of the hotel or spa facilities, or ordered in the ordinary course of business for future sale at the hotel or spa facility as of the Closing Date.
Retail Merchandise. Seller shall receive a credit for all Retail Merchandise as of the Closing in an amount equal to Seller’s actual cost (including sales and/or use tax) for such items.
