Return of Documents and Materials. Upon termination of the Employment Period, Executive shall forthwith deliver to the Company all procedural manuals, guides, specifications, formulas, plans, drawings, designs and similar materials, records, notebooks and similar repositories of or containing Confidential Information and Inventions which are the subject of Section 7.1, including all copies, then in Executive's possession or control, whether prepared by Executive or others, as well as all other Company property in Executive's possession or control.
Return of Documents and Materials. Immediately upon the termination of Employee’s employment or at any time prior thereto if requested by the Company, Employee shall return all documents, data, records, apparatus, equipment, chemicals, molecules, organisms and other physical property, proposals, notes, lists, files, and any and all other materials, including but not limited to Proprietary Information in a Tangible Form, that refers, relates or otherwise pertains to the Company and its business, including its products and services, personnel, customers or clients (actual or potential), investors (actual or potential), and/or vendors and suppliers (actual or potential), and any and all business dealings with said persons and entities (the “Returned Property and Equipment”) to the Company. Employee is not authorized to retain any copies or duplicates of the Returned Property and Equipment or any Proprietary Information that Employee obtained or received as a result of Employee’s employment or other relationships with the Company.

EMPLOYEE agrees that all documents, reports, drawings, materials, designs, plans, computer programs, proposals, marketing and sales plans, reproductions, and other documents or things made by EMPLOYEE or that come into EMPLOYEE's possession in the course of employment with EMPLOYER are the property of EMPLOYER and will not be used by EMPLOYEE for any purpose other than the business of EMPLOYER. EMPLOYEE will not deliver, reproduce or in any way allow such documents or things to be delivered or be used by any third parties without specific direction or consent of EMPLOYER. Upon termination of this Agreement , EMPLOYEE will promptly deliver to EMPLOYER the above documents and materials together with any copies thereof.

CONSULTANT agrees that all documents, reports, drawings, materials, designs, plans, computer programs, proposals, marketing and sales plans, reproductions, and other documents or things made by CONSULTANT or that come into CONSULTANT'S possession in the course of employment with COMPANY are the property of COMPANY and will not be used by CONSULTANT for any purpose other than the business of COMPANY. CONSULTANT will not deliver, reproduce or in any way allow such documents or things to be delivered or be used by any third parties without specific direction or consent of COMPANY. Upon termination of this Agreement, CONSULTANT will promptly deliver to COMPANY the above documents and materials together with any copies thereof.

Upon termination of Executive's employment, Executive shall forthwith deliver to the Company all Confidential Information and Inventions embodied in any form, including all copies, then in Executive's possession or control, whether prepared by Executive or others, as well as all other Company property in Executive's possession or control.
Return of Documents and Materials. The Parties hereby agree that all materials, including financial reports and analyses, customer list(s) programs, software, documents, reports, statistical data, trade secrets or similar printed, coded, electronic or magnetic material made by one of the Parties or to come into one of the Parties’ possession in the course of negotiations shall be returned to the other Party, upon conclusion of the negotiations.
Return of Documents and Materials. Employee agrees that any and all documents and materials, including, without limitation, reports, drawings, designs, tools, equipment, plans, proposals, marketing or sales plans, specifications or materials made or prepared, in whole or in part, by Employee or that may come into Employee's possession by reason of his employment are the property of the Company and shall not be used by Employee in any way adverse or competitive to the Company's interests. Employee acknowledges that Employee will not deliver, reproduce or in any way allow such documents and materials to be delivered or used by any third party without the specific written direction or consent of the Company. The parties hereto acknowledge and agree that the subject matter of the provisions of this Section 2.2 is of a unique and special nature such that such provisions may be specifically enforced by a court of equity in addition to whatever the remedies the Company may have at law.
Return of Documents and Materials. The Employee agrees to use his best efforts to deliver promptly upon the termination of the Employment, and at any other time as the Employer may request, all documents, technology, software, source codes, object codes, hardware (and all copies thereof), in whatever medium, relating to the business of the Employer, or any affiliated company, he possesses or has under his control.
Return of Documents and Materials. If Recipient does not proceed with the possible transaction with Disclosing Party, Recipient shall notify Disclosing Party of that decision and shall, at that time or at any time upon the request of Disclosing Party for any reason, return to Disclosing Party any and all records, notes, written, printed, copied, and other tangible materials, even those provided prior to execution of this Agreement, including any provided to Recipient’s Representatives pertaining to the Confidential Information immediately. Within five (5) days of written request of Disclosing Party, Recipient will deliver the aforementioned materials, along with an affidavit that Recipient has neither directly nor indirectly retained nor caused nor allowed any third party to retain any Confidential or Proprietary Information of Disclosing Party. The returning of materials shall not relieve Recipient from compliance with other terms and conditions of this Agreement.
Return of Documents and Materials. In the event that this Agreement is terminated without the Property having been conveyed to BuYer, then (a) Buyer shall promptly deliver to Seller a copy of all preliminary, interim and final environmental reports, engineering reports and appraisals prepared by or for Buyer with respect to the Property, and (b) all Documents and Materials and other information, of whatever nature and in whatever form, with respect to the Property, heretofore or hereafter delivered by or on behalf of Seller to Buyer its agents or other designees, shall be returned to Seller by Buyer and without any copies being retained by Buyer. In any such event, all such information shall be treated by Buyer as confi- dential and none of it shall be disclosed by Buyer to any other person or entity for any purpose or in any context; except that Buyer may have disclosed such information, prior to the termination of this Agreement, to Buyer's agents, attorneys, consultants, lenders and other persons as and to the extent reasonably necessary to facilitate Buyer's evaluation and acquisition of the Property. The obligations of Buyer set forth in this Section shall survive the termination of this Agreement.
