Revenue Share Payments. (a) During the term of this Agreement, we agree to pay you a revenue share (the "Revenue Share") equal to the applicable percentage of Net Revenue determined pursuant to the schedule set forth in the Affiliate Program materials posted on the PepperJam Network or otherwise provided by us. We reserve the right, at our sole discretion, to change, modify, add or remove portions of this Revenue Share schedule at any time without notice. For purposes of this Agreement, "Net Revenue" means all cash consideration (not including any portion of payment made through the redemption of coupons or credits, or the purchase of gift certificates or gift cards) from merchandise sold in a transaction resulting directly from a Qualifying Link tracked by PepperJam from your website to the Merchant Website in accordance with this Agreement, where the customer purchases such merchandise, less all taxes, shipping and handling charges, gift wrapping and other value-added service charges, returns and chargebacks. You acknowledge and agree that we will not be obligated to pay any revenue share unless we actually ship the applicable order and receive full payment for such order.
Revenue Share Payments. Each calendar quarter, Wink shall pay Microsoft [*] of the Revenue Share payable to Wink during such quarter in connection with the Microsoft Controlled Video Platform Devices. In the event that the Revenue Share for a Microsoft Controlled Video Platform Device payable to Wink during the applicable calendar quarter exceeds [*], Wink shall pay Microsoft [*] of the Revenue Share for such calendar quarter. Such payments shall be remitted within thirty (30) days of the end of each calendar quarter to such account as Microsoft may specify from time to time by written notice. Such payments by Wink shall be accompanied by a statement setting forth the basis for the calculation of amounts owed to Microsoft and shall contain information sufficient for Microsoft to determine and verify the basis for such calculations.
Revenue Share Payments. With respect to each Additional Implementation, Overture will make Quarterly revenue share payments (the “Additional Implementation Revenue Share Payments”) to Yahoo based on Gross Revenue earned from Bidded Clicks on the particular Additional Implementation (the “Additional Implementation Gross Revenue”) in the applicable Quarter according to the schedule set forth below. [*] Additional Implementation Revenue Share Payments are due and payable to Yahoo within [*] days after the end of the applicable Quarter. [*] Overture will retain all revenue that it derives from the Overture Results within the Additional Implementations, except as specifically set forth in this First Addendum.
Revenue Share Payments. Revenue Share payments are due for the entire length of this Agreement. Revenue Share payments shall be reduced by the Minimum Monthly Payment made for that particular month in which the revenue was generated (i.e., the month when the collections were received). If the Revenue Share due to Accuray in any given month is less than the Minimum Monthly Payment, then Institution shall pay the Minimum Monthly Payment in that month only.
Revenue Share Payments. All Technical Fees (as defined in Section 2.1 of the Accuray Terms and Conditions set forth below) collected during the Term of this Agreement are split equally (50/50) between Customer and Accuray. The Revenue Share Payments are net of the Minimum Monthly Payments.
Revenue Share Payments. The Revenue Share Payments are payments that Customer is required to make to Accuray based on an equal division (50/50) of the total Technical Fees (as defined below) collected by Customer each month.
Revenue Share Payments. Payments pursuant to this Section 4 shall be received by Xxxxx on behalf of all of the Assignors and shall be paid in United States dollars in New York, New York or at such other place as Xxxxx xxx reasonably designate consistent with the laws and regulations controlling in any foreign country. Any withholding taxes which Assignee, its Affiliate or any sublicensee shall be required by law to withhold on remittance of the revenue share payments pursuant to Section 4 hereof shall be deducted from such revenue share payment to the Assignors. If any currency conversion shall be required in connection with the payment of royalties hereunder, such conversion shall be made by using the exchange rate prevailing at Citibank, N.A. (or such applicable successor entity) in New York, New York on the last business day of the calendar quarter to which such revenue share payments relate.
Revenue Share Payments. Overture will make Quarterly revenue share payments (the “Revenue Share Payments”) to Yahoo based on Gross Revenue in the applicable Quarter according to the schedule set forth below, but only to the extent that the applicable Revenue Share Payment exceeds the applicable Guaranteed Fixed Payment made by Overture (e.g., if the Revenue Share Payment for the applicable Quarter were to exceed the Guaranteed Fixed Payment made by Overture for the applicable Quarter, then Overture would make a payment to Yahoo in the amount of the difference between the applicable Revenue Share Payment and the applicable Guaranteed Fixed Payment). Revenue Share Payments. Remaining gross revenues collected through the operation of the BusPatrol System after the Required Disbursements in section 5.1.1 ($250 per violation) will be disbursed as follows:
Revenue Share Payments. In consideration of the rights granted by RSFA to Race and in recognition of RSFA’s ownership of the Network, Race shall pay to RSFA the RSFA Revenue Payments (as defined below) monthly, no later than the 20th day of each month for Network Access Fees received the immediately preceding month (falling completely or partially within the Term). As used herein, the “RSFA Revenue Payment” shall mean an amount equal to all Network Access Fees received by Race during the applicable calendar month multiplied by 90%. Race will retain the remaining 10% of such Network Access Fees.
