Right to Operate. The City grants Operator the exclusive right to operate Heliport as a public use heliport in accordance with the provisions of this Agreement. Operator acknowledges that this Agreement does not convey or transfer a real property interest, but rather shall be deemed to be an agreement by the City to allow Operator to enter and operate facilities on the Heliport to perform the services that are the subject of this Agreement. Subject to the provisions of this Agreement, Operator shall have the exclusive right and duty to manage, direct and control the Heliport without interference by nongovernmental third parties; provided, that Operator shall not enter into any contracts or other agreements relating to the Heliport that extend past the Term of this Agreement. All such agreements must be terminable upon a twenty five (25) day notice period. Operator may, at its sole risk and expense, construct or relocate helicopter-related facilities and infrastructures (such as a hangar) within the Heliport subject to prior review and written approval by Agreement Administrator of Operator’s plans. All facilities constructed by Operator hereunder, improvements made thereon or improvements made to existing premises by Operator shall be made in compliance with all local, state and federal laws, rules and regulations, and shall, at the option of the City, be owned by the City as part of the Heliport. Operator shall not unlawfully discriminate against any person or entity in the operation of the Heliport. The City or Agreement Administrator may preclude certain types of helicopters during certain hours of operation. Operator acknowledges that the hours of operation of the Heliport for take-offs and landings shall be limited on Monday through Friday to 7:00 a.m. to 10:00 p.m.; no tourist flights will operate between the hours of 7PM to 10 PM seven days a week. The Heliport will operate from 7:00 a.m. to 5:00 p.m. on Saturdays and Sundays, unless otherwise modified by the City but no tourist flights will operate from 7AM to 9AM on Saturdays and Sundays other than for emergency landings and take-offs. Emergency landings and take-offs shall be those (i) used by any emergency service of any level of government (e.g., police, fire, military), (ii) used for time-critical medical treatment purposes, (iii) used in addressing any condition where a threat to human life or safety or damage to property is present or imminent, or (iv) by operators experiencing in-flight mechanical difficulti...
Right to Operate. POCC shall have the right, but not the obligation, to act as operator of the Partnership's facilities to the same extent it acted as operator of such facilities prior to the effective date of this Agreement for so long as POCC has responsibilities associated with such facilities.
Right to Operate. Working Interest Owners of any Tract that desire to take over and continue to operate xxxxx located thereon may do so by paying Unit Operator, for credit to the joint account, the net salvage value of the equipment in and on the xxxxx taken over as estimated by Working Interest Owners, and by agreeing to plug properly each well at such time as t is abandoned.
Right to Operate. Company has obtained, and shall maintain in full force during the Term hereof, such federal, state, provincial, municipal and/or other governmental authorizations as are necessary to operate and to otherwise perform its obligations under this Agreement, and shall be in substantial compliance with all applicable laws and regulations governing such performance.
Right to Operate. The Authority agrees that, so long as no Lessee Default has occurred and is continuing hereunder, the Lessee shall, at all times during the Term, be entitled to and shall have the exclusive right to conduct LMM Airport Facility Operations and the rights and privileges granted to the Lessee hereunder, subject to the provisions contained in this Agreement. The Authority and the Lessee acknowledge that the Lessee’s rights to use and operate the LMM Airport Facility as a public airport are subject to the right of the Authority, in accordance with the terms of this Agreement, to monitor compliance with this Agreement to ensure that the LMM Airport Facility is used and operated as required by this Agreement and Law. The Authority shall, at its sole cost and expense and at all times during the Term, defend its title to the LMM Airport Facility and the rights granted to the Lessee hereunder, or any portion thereof, against any Person claiming any interest adverse to the Authority or the Lessee in the LMM Airport Facility, or any portion thereof, except where such adverse interest arises as a result of the act, omission, negligence, willful misconduct or violation of Law of the Lessee, its Affiliates or their respective Representatives.
Right to Operate. Airline shall have the non-exclusive right to conduct its air cargo business at the Airport and to perform all operations and functions in connection with the conduct and operation of such business at the Airport, subject at all times to the terms of this Agreement and the City’s exclusive control and management of the Airport. Airline shall not conduct any business or commercial operation from, at, or on the Airport that is not part of an air cargo business unless permitted under another agreement between the City and Airline. Airline shall not use the Airport, and shall not cause or permit its employees, contractors, vendors, suppliers, consultants, agents, licensees, or invitees to use the Airport for any purpose other than as specified in this Agreement or such other instrument executed between the City and Airline.
Right to Operate. Any Working Interest Owner that now has or hereafter acquires the right to drill for and produce oil, gas, or other minerals, from other than the Unitized Formation, shall have the right to do so notwithstanding this agreement or the Unit Agreement. In exercising the right, however, the Working Interest Owner shall exercise reasonable precaution to prevent unreasonable interference with Unit Operations. No Working Interest Owner shall produce Unitized Substances through any well drilled or operated by it. If any Working Interest Owner drills any well into or through the Unitized Formation, the Unitized Formation shall be protected in a manner satisfactory to Working Interest Owners so that the production of Unitized Substances will not adversely be affected.
Right to Operate. City hereby grants to Concessionaire the right and obligation to occupy, equip, furnish, operate and maintain concessions in the Units described in further detail in Exhibits X-x and B-2. The rights granted shall be carried on solely and exclusively within the K:RT/CDG/Concessions/Food&Bevetage/Areas/T7-LAX-F&B 2017-02-27-Contract-T7-LAX-F&B-v3 limits and confines of said Units; subject, however, to the expansion, reduction or relocation of any such Units, as specified in Article IX hereof and its sections.
Right to Operate. From the execution of the PSA through the Closing, Seller or its agent shall continue to manage and operate the property in a first class manner consistent with the operation at the present time; however, during this period Seller shall not implement any operational changes, including, without limitation, the termination, extension or renewal of major service contracts in effect on the date the Purchase Agreement is executed, or enter into any new major service contracts (unless cancelable by the owner on not more than 30 days notice) or leases, without having first obtained the written consent of Purchaser, such consent not to be unreasonably withheld. Following the expiration of the Due Diligence Period, no new leases or management/operating agreements may be signed by Seller without the written consent of Purchaser.
Right to Operate. Incumbent shall provide to PathNet the exclusive right and PathNet shall have the right to install and operate the System (including, without limitation, full access to such System) at each of Incumbent's sites and Facilities, as set forth in SCHEDULE B, as is required and necessary for the performance of PathNet's rights and obligations under this Agreement.
