Rights and Obligation. (a) The Company shall remain liable to perform its duties and obligations under the contracts and agreements included in the Collateral in accordance with their respective terms to the same extent as if this Agreement had not been executed and delivered. The exercise by the Collateral Trustee or any Secured Party of any right, remedy, power or privilege in respect of this Agreement shall not release the Company from any of its duties and obligations under such contracts and agreements. Neither the Collateral Trustee nor any Parity Lien Secured Party shall have a duty, obligation or liability under such contracts and agreements or in respect to any Government Approval included in the Collateral by reason of this Agreement or any other Security Document, nor shall the Collateral Trustee or any Parity Lien Secured Party be obligated to perform any of the duties or obligations of the Company under any such contract or agreement or any such Government Approval or to take any action to collect or enforce any claim (for payment) under any such contract or agreement or Government Approval.
(b) No Lien granted by this Agreement in the Company’s right, title and interest in any contract, agreement or Government Approval shall be deemed to be a consent by the Collateral Trustee or any Secured Party to any such contract, agreement or Government Approval.
(c) No reference in this Agreement to proceeds or to the sale or other disposition of Collateral shall authorize the Company to sell or otherwise dispose of any Collateral except to the extent otherwise expressly permitted by the terms of the Secured Debt Documents.
(d) Neither the Collateral Trustee nor any Secured Party shall be required to take steps necessary to preserve any rights against prior parties to any part of the Collateral.
Rights and Obligation. You have the right to receive the Onsite Exchange as described herein if the conditions of Section 1 of this Schedule 2 on Onsite Exchange are fulfilled. Additionally You are entitled to receive a discount on purchase of new hardware upgrade, meaning a more performing version of the hardware platform. To receive the hardware upgrade, you are obliged to hand in the older hardware and You Confidential have to maintain the Software License. You acknowledge and agree that all services covered by this Schedule 2 have to be purchased together with the AXS GUARD and these services have a minimum duration of one (1) year. AXS GUARD / Able has the right to subcontract the fulfillment of any of its obligations under this Agreement to a third party (“AXS GUARD / Able Hardware Service Center”).
Rights and Obligation. LENDER and BORROWERS hereby expressly reserve the right to amend any provision of this Agreement upon mutual agreement, to consent to or waive any departure from the provisions of this Agreement, to amend upon mutual agreement, to consent to or waive departure from the provisions of the Notes, and to release or revise any collateral security for payment of the Note, as provided in Paragraph 8 herein.

3. Party A shall provide Party B with support and convenience not limited to business promotion, training materials, marketing support, and relevant operations for the COSG Car App promotion, in order for Party B to achieve better and more effective promotion.
4. Party A shall be responsible for operating the product ecosystem and shall provide stable and high-quality membership and relevant membership services. Party A shall guarantee an ‘after-app’ operating environment, provide high quality customer experience, and improve the local service supporting system.
Rights and Obligation. The PMT shall consist of the PC and SUPT and is responsible for the implementation of the decisions taken by the Executive Board.
