Rights as Unitholder. You, or your executor, administrator, heirs, or legatees shall have the right to vote and receive distributions on Units and all the other privileges of a unitholder of the Partnership only from the date of issuance of a Unit certificate in your name representing payment of a vested Phantom Unit.
Rights as Unitholder. Subject to the provisions of the Plan and this Agreement, upon the issuance of the Restricted Units to Employee, Employee shall become the owner thereof for all purposes and shall have all rights as a unitholder, including voting rights and the right to receive distributions, with respect thereto. If the Partnership makes a distribution of any kind with respect to the Units constituting the Restricted Units, then the Partnership shall make such distribution with respect to the Restricted Units; provided, however, that the cash, stock or other securities and other property constituting such dividend or other distribution shall be held by the Company subject to the restrictions applicable hereunder to the Restricted Units until either the Restricted Units are forfeited and transferred by Employee to the Company or the restrictions thereon terminate as set forth in this Agreement. If the Restricted Units with respect to which a distribution was made are forfeited by Employee pursuant to the provisions hereof, then such distribution is also forfeited and transferred to the Company. If the restrictions that imposed a substantial risk of forfeiture applicable to the Restricted Units with respect to which a distribution was made terminate in accordance with this Agreement, then Employee shall be entitled to receive the amount held back with respect to such distribution, without interest, and such amount shall be delivered to Employee as soon as practicable (but in no event later than sixty (60) days) after the termination of such restrictions.
Rights as Unitholder. 5.1 The Grantee shall be the record owner of the Grant Units effective on the Grant Date until such Common Units are sold or otherwise disposed of, and shall be entitled to all of the rights of a unitholder of the Company including, without limitation, the right to vote such Common Units and receive all distributions paid with respect to such Common Units in accordance with the terms of the Third Amended and Restated Agreement of Limited Partnership of the Company (the “Company Agreement”).
5.2 The Company shall issue certificates or other evidence of the Grantee’s ownership of the Common Units granted pursuant to this Agreement as soon as practicable after the execution of this Agreement.
Rights as Unitholder. Until the unit certificate evidencing such Common Units is issued (as evidenced by the appropriate entry on the books of the Company or of a duly authorized transfer agent of the Company), no right to vote or receive distributions or any other rights as a unitholder shall exist with respect to the Common Units, notwithstanding the exercise of the Option. The Company shall issue (or cause to be issued) such unit certificate promptly after the Quarterly Exercise Date on which the Option is exercised. No adjustment will be made for a distribution or other right for which the record date is prior to the date the unit certificate is issued.
Rights as Unitholder. You shall have the right to vote and receive distributions on Common Units awarded hereunder and all of the other privileges of a unitholder of Xxxxxxxxxxxx XX with respect to such Common Units only from the date of issuance to you of such Common Units in book-entry form in your name as provided herein.
Rights as Unitholder. Except to the extent set forth above, -------------------- Grantee shall have no rights as a unitholder with respect to any Contingent Units until the issuance (as evidenced by the appropriate entry on the books of the Partnership or a duly authorized transfer agent) of a certificate representing the Units. No adjustment shall be made for distributions or other rights for which the record date is prior to the date the certificate is issued.
Rights as Unitholder. Neither Participant nor any person claiming under or through Participant will have any of the rights or privileges of a Unitholder of the Company in respect of any Units deliverable hereunder unless and until such Units will have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to Participant. After such issuance, recordation and delivery, Participant will have all the rights of a member of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.
Rights as Unitholder. Except as otherwise set forth in this Agreement in respect of the “Transfer Restrictions” and the “Liquidated Damages Payment” (each as defined below), CC shall have all the rights of a unitholder with respect to the CC New Units, including the right to receive any distributions paid to or made with respect to the CC New Units.
Rights as Unitholder. The Participant shall be the record owner of the Restricted Units unless or until they are forfeited pursuant to Section 2 hereof, and as record owner shall be entitled to all rights of a unitholder of the Company, including, without limitation, voting rights with respect to the Restricted Units, and, except as otherwise provided below, the Participant shall receive, when paid, any dividends or distributions on all of the Restricted Units granted hereunder as to which the Participant is the record holder on the applicable record date; provided that the terms and conditions of the Operating Agreement that apply to the Class A Units shall apply equally to the Restricted Units granted hereunder, including, but not limited to, the limitations on transfer and encumbrance, as well as the repurchase provisions. By executing this Agreement, the Participant agrees to be bound by the terms of the Operating Agreement.
Rights as Unitholder. The Participant shall have no rights as a unitholder, and is not entitled to receive any Partnership Units as a result of the grant of Phantom Units, DERs, and DER Phantom Units hereunder.
