Common use of Rights in Documents and Work Clause in Contracts

Rights in Documents and Work. Any and all reports, photographs, surveys, and other data and documents, with the exception of Client records, provided or created in connection with this Agreement are and shall remain the property of County, and, if a copyright is claimed, Second Party grants to County a nonexclusive license to use the copyrighted item(s) indefinitely, to prepare derivative works, and to make and distribute copies to the public. In the event of termination of this Agreement pursuant to the terms of Article 7, any reports, photographs, surveys, and other data and documents other than Client records prepared by Second Party, whether finished or unfinished, shall become the property of County and shall be delivered by Second Party to the Contract Administrator within seven (7) days of termination of this Agreement by either Party. Any compensation due to Second Party shall be withheld until all documents are received as provided herein. Second Party shall ensure that the requirements of this Section are included in all agreements with its Subcontractor(s). After the five (5) year retention period or any longer retention period as stated in Section 15.3 below, Second Party shall notify the Contract Administrator that the retention period has expired and shall provide at least ten (10) calendar days for County to obtain the records if County desires to retain the records for a longer period of time; such notice shall be made in writing pursuant to the "NOTICES" section of this Agreement. The provisions of this section shall survive the expiration or termination of the Agreement.
