Rights of Xxxxxxx. 6.1 Immediately and without further notice, Xxxxxxx shall have the right to require any and all Proceeds be held as Collateral or to receive any and all Proceeds paid in respect of the Pledged Securities and make application thereof to the Obligations in such order as it may determine in its sole discretion, including, without limitation, the right to apply such Proceeds against the balance of the Purchase Loan and any accrued interest thereon and, subject to Section 7 hereof, to exercise all rights pertaining to the Pledged Securities as if Xxxxxxx were the absolute owner thereof, including, without limitation, the right to exercise all conversion, exchange, subscription or other rights, privileges or options, pertaining to any of the Pledged Securities and, in connection therewith, to deliver any of the Pledged Securities to any committee, depository, transfer agent, registrar or other designated agency upon such terms and conditions as may be determined, all without liability except to account for property actually received by it. Xxxxxxx, however, shall not have any duty to exercise any of the aforesaid rights, privileges or options and shall not be responsible for any failure to do so or delay in so doing. 6.2 The rights of Xxxxxxx hereunder shall not be conditioned or contingent upon the pursuit by Xxxxxxx of any right or remedy against the Employee or against any other person or entity which may be or become liable in respect of all or any part of the Obligations or against any other collateral security therefor, guarantee thereof or right of offset with respect thereto. Xxxxxxx shall not be liable for any failure to demand, collect or realize upon all or any part of the Collateral or for any delay in doing so, nor shall it be under any obligation to sell or otherwise dispose of any Collateral upon the request of the Employee or any other person or entity or to take any other action whatsoever with regard to the Collateral or any part thereof.

Rights of Xxxxxxx. The Customer shall not at any time use the name "Xxxxxxx Pharmaceuticals" or “Xxxxxxx Manufacturing” or any trade marks or trade names owned by Xxxxxxx or its Affiliates or any trade marks or trade names similar thereto on or in connection with the Products or otherwise, except (a) as expressly permitted by this Agreement, (b) with the prior written consent of Xxxxxxx, or (c) as required to comply with Applicable Law or Regulatory Requirements (including, for example, if Xxxxxxx is required by Applicable Law or Regulatory Requirements to be identified as the manufacturer on Product packaging).
Rights of Xxxxxxx. Xxxxxxx shall be the holder of any and all Regulatory Approvals for the Product in the Territory and shall retain sole authority over all regulatory matters relating to the Product in the Territory.
Rights of Xxxxxxx. (1) The xxxxxxx shall be entitled– (a) in the absence of any provision in the chit agreement to the contrary to obtain the chit amount at the instalment specified in the chit agreement: Provided that a xxxxxxx shall not be eligible to obtain more than one chit amount in a chit; (b) to such commission or remuneration, not exceeding five per cent, of the chit amount, as may be fixed in the chit agreement; (c) to receive and realise all contributions from the subscriber; and to distribute the prize amounts to prized subscribers and the dividend among the subscribers; (d) to demand sufficient security from any prized subscribers for the due payment of future subscriptions;

  • Xxxx Xxxxxxxx and Presentment The Service includes a feature that electronically presents you with electronic bills from select Billers. Electronic bills may not be available from all of your Billers. Electronic bills are provided as a convenience only, and you remain solely responsible for contacting your Billers directly if you do not receive their statements. In addition, if you elect to activate one of the Service's electronic bill options, you also agree to the following: 1. Presentation of electronic bills. You will receive electronic bills from a Xxxxxx only if both: (a) you have designated it in the Service as one of your Billers, and (b) the Xxxxxx has arranged with our Service Provider to deliver electronic bills. The Service may then present you with electronic bills from that Xxxxxx if either: (1) you affirmatively elect online within the Service to receive electronic bills from the Xxxxxx, or (2) the Xxxxxx chooses to send you electronic bills on a temporary “trial basis.” In either case, you can elect online within the Service to stop receiving electronic bills from a Xxxxxx. Electing to receive electronic bills, automatically receiving trial electronic bills, and declining further elected or trial electronic bills all occur on an individual Xxxxxx basis. The Service does not include an option to prevent ever participating in the automatic trial electronic bill feature. When affirmatively electing to receive electronic bills from a particular Xxxxxx, you may be presented with terms from that Xxxxxx for your acceptance. We are not a party to such terms.

  • Compliance with Xxxxxxxx-Xxxxx The Company and its subsidiaries and their respective officers and directors are in compliance in all material respects with the applicable provisions of the Xxxxxxxx-Xxxxx Act of 2002 (the “Xxxxxxxx-Xxxxx Act,” which term, as used herein, includes the rules and regulations of the Commission promulgated thereunder).

  • Compliance with Xxxxxxxx-Xxxxx Act The Company will comply with all applicable securities and other laws, rules and regulations, including, without limitation, the Xxxxxxxx-Xxxxx Act, and use its best efforts to cause the Company’s directors and officers, in their capacities as such, to comply with such laws, rules and regulations, including, without limitation, the provisions of the Xxxxxxxx-Xxxxx Act.

  • Xxxxxxx Xxxx CareFirst BlueChoice’s Service Area is a clearly defined geographic area in which CareFirst BlueChoice has arranged for the provision of health care services to be generally available and readily accessible to Members. CareFirst BlueChoice will provide the Member with a specific description of the Service Area at the time of enrollment. The Service Area is as follows: the District of Columbia; the state of Maryland; in the Commonwealth of Virginia, the cities of Alexandria and Fairfax, Arlington County, the town of Vienna and the areas of Fairfax and Xxxxxx Xxxxxxxx Counties in Virginia lying east of Route 123. SAMPLE If a Member temporarily lives out of the Service Area (for example, if a Dependent goes to college in another state), the Member may be able to take advantage of the CareFirst BlueChoice Away From Home Program. This Program may allow a Member who resides out of the Service Area for an extended period of time to utilize the benefits of an affiliated Blue Cross and Blue Shield HMO. This Program is not coordination of benefits. A Member who takes advantage of the Away From Home Program will be subject to the rules, regulations and plan benefits of the affiliated Blue Cross and Blue Shield HMO. If the Member makes a permanent move, he/she does not have to wait until the Annual Open Enrollment Period to change plans. Please call 000-000-0000 or visit xxx.xxxx.xxx for more information on the Away from Home Program. This attachment contains certain terms that have a specific meaning as used herein. These terms are capitalized and defined in Section A below, and/or in the Individual Enrollment Agreement to which this document is attached. These procedures replace all prior procedures issued by CareFirst BlueChoice, which afford CareFirst BlueChoice Members recourse pertaining to denials and reductions of claims for benefits by CareFirst BlueChoice. These procedures only apply to claims for benefits. Notification required by these procedures will only be sent when a Member requests a benefit or files a claim in accordance with CareFirst BlueChoice procedures. An authorized representative may act on behalf of the Member in pursuing a benefit claim or appeal of an Adverse Benefit Determination. CareFirst BlueChoice may require reasonable proof to determine whether an individual has been properly authorized to act on behalf of a Member. In the case of a claim involving Urgent/Emergent Care, a Health Care Provider with knowledge of a Member's medical condition is permitted to act as the authorized representative. SAMPLE
