Common use of Sale or Transfer Defined Clause in Contracts

Sale or Transfer Defined. As used in this Agreement, “sale or transfer” of a Member’s Membership Interest in the Company shall include, without limitation, any sale, transfer, gift, exchange, pledge, assignment, encumbrance, transfer in trust, or any other attempt to dispose of all or any portion of a Member’s Membership Interest (or any interest therein), directly or indirectly, whether voluntarily or involuntarily, with or without consideration, by operation of law or otherwise, and any contract or option to sell or transfer.
