Sales and Promotion. 5.1 The Licensee shall use its best efforts to promote and extend the sale of Products throughout the Territory to all potential Approved Outlets. 5.2 The Licensee shall secure and maintain the distribution of adequate stocks of Products to (and only to) Approved Outlets such that the Products may be made readily and continuously available to customers. 5.3 The Licensor hereby places the Licensee on notice that it may inspect such Approved Outlets at any time throughout the Contract Term to assure itself that the provisions of this Clause are being complied with. If the Licensor notifies the Licensee that an outlet at which Products are sold does not (in the absolute discretion of the Licensor) meet the standards of an Approved Outlet, the Licensee shall procure that sales of Products at such outlets be discontinued at the earliest possible opportunity. 5.4 Products shall not be exported or sold by the Licensee for re-sale outside the Territory. 5.5 All advertising and promotional materials and activities relating to the Products shall require the Licensor's prior approval and all advertising and promotional proposals for the Products shall accordingly be submitted by the Licensee to the Licensor for prior approval. In respect of proposals by the Licensee for promotional materials and activities which have been contemplated by the Marketing Plan for the period to which they relate, the Licensor shall respond as quickly as practicable and in any event within FIFTEEN (15) business days from receipt of the same, in default of which response the Licensor's approval shall be deemed to have been granted. 5.6 The Licensor and its Affiliates in the Territory may purchase Products from the Licensee at the lower of (a) Licensee's standard wholesale price, including customary trade discounts and advertising allowances, or (b) the lowest wholesale price at which the Licensee sells equivalent quantities of Products to its customers in the Territory, on at least net THIRTY (30) day terms.

Sales and Promotion. (a) Licensee shall use its commercially reasonable best efforts in its sole discretion, to promote and develop the sale of the Products and to exploit the rights granted hereunder in the Territory. (b) Prior to the first use or appearance in any media, Licensee shall submit to Licensor for its inspection and approval, which approval shall not be unreasonably withheld, free of charge, specimens of all advertising, public relations and promotional materials for the Products. All such materials shall be subject to Licensor's prior approval and shall be deemed approved if notice of rejection is not given to Licensee within ten (10) days after receipt by Licensor.

Sales and Promotion. (a) Glenoit agrees to use its best efforts to market and promote in the Territory the sale of pile knits made from Fiber. (b) Sterling agrees to promote and advertise Fiber in the Territory for applications within the Field of Use, provided that nothing herein shall obligate Sterling to incur any particular expenses or any level of expenses, and all such expenditures and promotional efforts shall be within Sterling's sole and absolute discretion. (c) Glenoit shall deliver to Sterling on or before the last day of each month a forecast of Glenoit's estimated requirements of Fiber for the next eight weeks. Glenoit will place firm orders for Fiber on Wednesday of each week, and Sterling shall ship the Fiber so ordered on Friday of the same week, provided Sterling shall not be obligated to ship quantities of any color in excess of the amounts forecast for such week in a forecast delivered at least four weeks before the week of shipment. All orders for any color of Fiber in any month shall be in minimum quantities of 10,000 pounds unless otherwise agreed in writing by Sterling. (d) Subject to the other terms and conditions hereof, Sterling shall sell Glenoit sufficient quantities of Fiber to enable Glenoit to meet the minimum sales requirements set forth in Section 12.

Owner agrees that no influence will be brought on Manager or the General Manager relating to the granting or extension of credit. Credit facilities shall be given by Manager in its discretion and in accordance with Manager's standard practice. Manager may alter room rates or other charges without prior consultation with Owner. Manager, on behalf of Owner, shall institute and supervise a sales and marketing program, and Manager shall coordinate with tour programs marketed by airlines, travel agents and government tourist departments when Manager determines such programs are in the best interest of Owner.
Sales and Promotion. Retailer shall (a) market, promote and sell Products to the Customers in the Territory, (b) include all warnings and instructions necessary for the proper use of the Products in connection with such solicitation, (c) inform each Customer of (i) Sound’s then-current warranty applicable to the Products and (ii) any other information requested by Sound in writing (email is sufficient) from time to time, and (d) not make any warranty, express or implied, relating to the Products other than Sound’s then-current warranty.

Sales and Promotion. 6.1 Upon Calixa’s obtaining Regulatory Approval in a country in the Territory, Calixa shall []* market, promote, sell, offer to sell and distribute the Product in such country in the Territory under such Regulatory Approval in compliance with the applicable laws, regulations and rules. Calixa shall []* Astellas’ []* requests or comments with respect to such marketing efforts, but Calixa shall have sole rights and authority to determine and control the marketing strategy and plan to market the Product throughout the Territory. 6.2 Calixa shall []*, at its sole expense and responsibilities and subject to its sole discretion to determine the appropriate marketing plans and strategies, to import, market, promote, sell, offer to sell and distribute the Product in the Territory with the general goal of maximizing the benefit []* from such sales of the Products in the Territory. 6.3 On a country-by-country basis, Calixa shall launch the Product in the applicable country []* after obtaining the Regulatory Approval in such country, but no later than []* after such approval is obtained unless such launch is not []* by such date due to factors outside of Calixa’s control. Calixa shall promptly notify Astellas of the date of the launch of the Product in each country within the Territory. If Calixa determines that it cannot launch the Product in a particular country within the Territory within []* after Regulatory Approval is obtained in that country, then Calixa shall give Astellas written notice of such determination, and the reasons (if any) that it is not []* to launch the Product by such date due to []*. In such case, if Calixa []* (and all other rights of Calixa under the Agreement shall remain unaffected). 6.4 Calixa shall promptly provide to Astellas, solely for reference of Astellas, copies of all packages and package inserts to be used by Calixa and its sublicensees for the Product in each country within the Territory each time they are first prepared or materially changed by Calixa and/or its sublicensees. Upon the reasonable request of Astellas, Calixa shall provide Astellas, solely for reference of Astellas, with copies of any promotional materials for the Product. 6.5 Within []* days after the close of each month, Calixa shall use reasonable efforts to provide Astellas with a monthly sales report for the Product for such month, which shall show the relevant []* by Calixa (to the level of accuracy that Calixa reasonably can determine in such period) indica...
Sales and Promotion. 6.1 OMRIX shall sell and promote the PRODUCT in its own responsibility and expenses. 6.2 OMRIX shall 'notify DAIICHI through DPE the names of the distributors in each country where the PRODUCT is marketed. 6.3 OMRIX shall use its own trademark "QUIXIL" as the tradename of the PRODUCT in Israel and Mexico. OMRIX shall inform the tradename of the PRODUCT of each country to DAIICHI through DPE before its launch.
