SALES AND SERVICE. SECTION 3.01 COMPANY shall use its best efforts to promote the sale and sell Products within the Territory, which best efforts shall include but not be limited to prompt performance of all of its obligations under this Agreement. COMPANY will appoint distributors who will maintain a sales volume of Products in the Territory in accordance with reasonable standards of performance and who will provide customer service to the Targeted Customers. SECTION 3.02 COMPANY agrees that it will not sell any equipment or service which in any way can be considered competitive with the equipment or services offered by SUPPLIER to the COMPANY, except for other products manufactured by or on behalf of SUPPLIER.

SALES AND SERVICE. (a) Medtronic shall be solely responsible for selling, installing and servicing all Systems in the Field of Use in the Medtronic Territory. The Systems shall be sold under CMI trademarks and trade names subject to Medtronic's right to indicate its status as distributor thereof on sales and marketing materials for the Systems. (b) Subject to Section 3.7 below, Medtronic shall be solely responsible for providing customer and physician training to any purchaser of Systems for use in the Field of Use in the Medtronic Territory. (c) Medtronic shall be solely responsible for establishing the marketing, selling and pricing strategies for the Systems in the Field of Use in the Medtronic Territory. Such strategies will be available for review by CMI.
SALES AND SERVICE. SECTION 3.01. Distributor shall make best commercial efforts to sell and promote the sale of Products within the Territory. Distributor shall provide Company with a sales forecast at least three months in advance. SECTION 3.02. Distributor shall establish, staff, equip and maintain facilities for the sale of Products in the Territory. Such facilities shall be sufficient to enable Distributor to satisfy properly its sales responsibilities under this Agreement and shall be consistent with promoting the reputation of, and public confidence in, Products and Company. SECTION 3.03. Distributor shall establish, staff, equip and maintain an adequate service team to enable Distributor to provide technical support service for the Products.

(b) Subject to Section 3.5 below, Medtronic shall be solely responsible for providing customer and physician training to any purchaser of Systems for use in the Field of Use in Europe, the Middle East and Africa and the Extended Geographies. (c) Medtronic shall be solely responsible for establishing, subject to Vista's right to be consulted with respect thereto, the marketing, selling and pricing strategies for the Systems in the Field of Use in Europe, the Middle East and Africa and the Extended Geographies.
SALES AND SERVICE. 7. The Company shall assess a Sales & Service Fee when Products are sold Fee outside of the Dealer’s Sales and Service Area. This fee shall not apply to parts, attachments and accessories sold separately. The selling Dealer shall report any sale outside of its Sales and Service Area at the time the warranty registration documents for such sale are filed. Claims for payment of this Fee shall be made in writing to the Company by the non-delivering Dealer within one (1) year after the sale of the Products involved and shall be accompanied by evidence satisfactory to the Company that the non-delivering Dealer has provided the end user with warranty or non-preventive maintenance service. This Fee shall be charged by the Company to the selling Dealer and credited to the non-delivering Dealer to reimburse that Dealer for a portion of its marketing and service expenses. In the event of a dispute, the Company shall be the sole judge and the Dealer agrees to abide by the Company’s decision. The amount of this Fee, the operative regulations, and the Products to which it applies are published in the current Schedule of Discounts and Terms, which can be modified from time to time by the Company.

UPPERTECH shall prepare and forward all reports as may be reasonably requested by MPS, including but not limited to 4-month rolling sales forecasts and inventory report by product. 2.2 MPS shall have the right to audit inventory of UPPERTECH’s stock at reasonable intervals. UPPERTECH shall furnish all reasonable assistance as may be required to conduct such audit. 2.3 MPS shall conduct technical training of product to UPPERTECH’s employees, and shall provide UPPERTECH with sales aides, data sheets, application notes, and other materials and specifications for the Products, which UPPERTECH shall provide to prospective customers. 2.4 MPS may elect, in its sole discretion, to discontinue the manufacture and sale of any Products or to make engineering changes to the Products, at any time, without prior notice to UPPERTECH. MPS shall use reasonable efforts to provide UPPERTECH sixty (60) days prior written notice of all Product discontinuance and engineering changes that will affect form, fit or function of any Products in UPPERTECH’s inventory. MPS shall issue a last buy notice prior to product discontinuance, allowing UPPERTECH to place a last time order within sixty (60) days from notice for product delivery within six (6) months from notice.

SALES AND SERVICE. Dealer shall use its best efforts to promote the sale and use of the Products to all existing and potential Customers within the Territory. For that purpose, Dealer shall: provide prompt and effective service and response to customer orders, questions and problems with regards to the product and uphold the product’s image by handling claims, complaints and customer service issues expeditiously and professionally.
