SALES CONDITIONS a. Except as otherwise provided in this Agreement, Spare Parts shall be quoted, ordered, sold and delivered in accordance with Seller's General Terms and Conditions for the Sale of Spare Parts, published from time to time in the Seller's Spare Parts Price List, and in accordance with the then current Customer Support Manual. c. All international freight charges and duties, if any, for spare parts ordered by Purchaser through Seller will be paid by Seller, provided, however, international freight charges and duties, if any, for AOG Non-Stock Spare Parts will be paid by Purchaser. AOG Non-Stock Spare Parts, as used herein, means those spare parts that have not been requisitioned by any operator two or more times during the previous twelve (12) months.

When Emsere and Customer have agreed that Emsere will keep the Purchased Object in storage for Customer at an Emsere warehouse or elsewhere before shipment, the risks of loss of the Purchased Object and/or damages to the Purchased Object during the storage period shall be borne by Emsere. 3.4 When the parties have agreed that Emsere shall arrange the transportation of the Purchased Object to a location designated by Buyer, the risks of loss of the Purchased Object and/or damages to the Purchased Object during the shipment shall be borne by Emsere. Replacement of the Purchased Object will only take place after written acceptance of the insurance claim, filed by Emsere against Courier Company. At Emsere’s discretion necessary repairs to the Purchased Object will be performed at no charge to Customer, except for cosmetic damages that do not impact the operating conditions of the Purchased Object. Regular applicable transport costs relating to repairs or replacement will not be charged to Customer. Customer may request for Emsere to provide temporary replacement of the Purchased Object. If EMSERE can offer this service, any related rental fees and transport costs will be borne by Customer. 3.5 In the event of late payment by Customer, Emsere shall be entitled to repossess or arrange for the return of any Purchased Object to Emsere without prior notice of default and without any judicial intervention being needed. Customer hereby irrevocably grants Emsere access to all sites and buildings of Customer and/or Designee to this end.
