Sales Outside the Territory. Except as otherwise set forth in this Agreement, Celltech shall not distribute, sell or otherwise provide the Product outside of the Territory and shall not solicit customers for the Product outside the Territory or establish any office through which orders are solicited or any depot at which inventories of the Product are stored outside the Territory. Celltech shall not sell the Product to customers outside the Territory, provided that nothing herein shall preclude Celltech from selling the Product to any customer, wherever located, who purchases Product with a view to its use within any country of the Territory.
Sales Outside the Territory. Nothing herein shall be construed as precluding DISTRIBUTOR from selling Products outside the Territory, provided that DISTRIBUTOR shall not actively advertise, promote or solicit customers for Products outside the Territory nor establish any office through which orders are solicited or any depot at which inventories of SUPPLIER Products are stored outside the Territory.
Sales Outside the Territory. SJ JAPAN shall not advertise, --------------------------- promote, solicit customers for, sell or distribute Products outside the Territory nor establish any office through which orders are solicited or any depot at which inventories of Products are stored outside the Territory.
Sales Outside the Territory. To the extent not otherwise prohibited by law, neither Forest nor its Affiliates or permitted sublicensees shall sell Product to customers outside the Territory or to any Third Party in the Territory that Forest has reasonable grounds to believe are likely to export Product outside the Territory. If Forest becomes aware that a Third Party in the Territory is exporting Products acquired from Forest to a country outside the Territory, then Forest shall use Commercially Reasonable Efforts within its legal rights and the remedies afforded by Applicable Laws to deter such Third Party from continuing such exportation, including, without limitation by ceasing or limiting the supply of Product to such Third Party. All inquiries or orders received by Forest for Products to be delivered outside of the Territory shall be referred to Replidyne. To the extent not otherwise prohibited by law, neither Replidyne nor its Affiliates or licensees will sell Product to customers inside the Territory or to any Third Party that Replidyne has reasonable grounds to believe are likely to import Product into the Territory. If Replidyne becomes aware that a Third Party outside the Territory is exporting Product acquired from Replidyne or any Affiliate or licensee to a country within the Territory, then Replidyne shall use Commercially Reasonable Efforts within its legal rights and the remedies afforded by Applicable Laws to deter such Third Party from continuing such exportation, including, without limitation, by ceasing or limiting the supply of Product to such Third Party. All inquiries or orders received by Replidyne for Products to be distributed within the Territory shall be referred to Forest.
Sales Outside the Territory. To the extent not otherwise prohibited by law, REPLIDYNE shall not sell Drug Products to customers outside the Territory or to any party in the Territory which REPLIDYNE has reasonable grounds to believe is likely to export Drug Products outside the Territory. All inquiries or orders received by REPLIDYNE for Drug Products to be delivered to outside Territory shall be referred to DSP.
Sales Outside the Territory. Distributor shall not (a) distribute, sell or otherwise provide the Products outside the Territory, (b) advertise, promote or solicit customers who live, sell or practice outside the Territory or (c) establish any branch or maintain any distribution depot outside of the Territory.
Sales Outside the Territory. NSUSA agrees that it will neither sell nor enable any third party to sell Products or Sales Aids outside the Territory or sell Products or Sales Aids to any party within the Territory for resale or delivery outside the Territory. Further, NSUSA shall not promote or solicit customers for Products or Sales Aids sales outside the Territory. NSUSA shall not establish any facility outside the Territory through which orders are solicited or in which inventories of Products or Sales Aids are stored without NSI's written consent.
Sales Outside the Territory. To the extent not otherwise prohibited by law, REPLIDYNE shall not sell Drug Products to customers outside the Territory or to any party in the Territory which REPLIDYNE has reasonable grounds to believe is likely to export Drug Products outside the Territory. If REPLIDYNE becomes aware that a Third Party in the Territory is exporting Drug Products acquired from REPLIDYNE to a country outside the Territory, then REPLIDYNE shall use Commercially Reasonable Efforts within its legal rights and the remedies afforded by Applicable Laws to deter such Third Party from continuing such exportation. All inquiries or orders received by REPLIDYNE for Drug Products to be delivered to outside Territory shall be referred to DAP. DAP agrees, on behalf of itself and any of its licensees, to prevent exports of Drug Product from outside the Territory into the Territory on the same terms as set forth above.”
Sales Outside the Territory. DISTRIBUTOR shall not distribute, sell or otherwise provide UT Product outside of the Territory and shall not advertise, promote or solicit customers for UT Product outside the Territory.
Sales Outside the Territory. 11.1. The Distributor agrees not to actively promote sales (e.g. through advertising, establishing branches or distribution depots) anywhere other than in the Territory.
