Scheduled Liabilities. Schedule 2.19 of the Company Disclosure Schedules, sets forth a list and the estimated amount of all liabilities of the Company to be paid or discharged at Closing.
Scheduled Liabilities. The Scheduled Liabilities shall have been paid.

If a liability that is or may be assessed against or become a charge against an Asset is not disclosed on Schedule 3.2.3 or otherwise identified in this Section 3.2, then the liability is nevertheless an assumed liability for purposes of this Restated Purchase Agreement as part of the Buyer’s purchase of the Asset, shall be assumed by Buyer, and shall be retained by, and be the sole and exclusive obligation of, Buyer following Closing.
Scheduled Liabilities. The list of all liabilities which may be a charge against any Asset is attached. None. Schedule 3.3.2
Scheduled Liabilities.
