Scope and Description of Services. Lynx shall conduct the Services for DuPont, including its Affiliates, for the Exclusive Plants and Non-exclusive Plants using DuPont's Samples and CERTAIN CONFIDENTIAL INFORMATION CONTAINED IN THIS DOCUMENT, MARKED BY BRACKETS, HAS BEEN OMITTED AND FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO RULE 24b-2 OF THE SECURITIES EXCHANGE ACT OF 1934, AS AMENDED. according to specifications in the attached Work Plan, or such other written schedules, work plans or descriptions that the Parties may agree upon from time to time and shall make part of this Agreement. Lynx hereby agrees (a) to use Samples solely to perform the Services for DuPont and meet its obligations under this Agreement, and (b) to send all residual Samples to DuPont (or another site designated by DuPont) within [*] calendar days after the date of completion of Services for such Samples, or at the end of the Term, or at Termination of this Agreement. In the event that DuPont provides written direction to Lynx to destroy all residual Samples, Lynx shall do so promptly. Lynx shall not distribute, release, sell, disclose, or otherwise transfer the Samples to, or use Samples with or on behalf of, any third party, except to such affiliates of Lynx as may be necessary for the performance of the Services. In such event, Lynx shall notify DuPont of such transfer or disclosure, and such Lynx affiliates shall be bound by the same terms as contained herein regarding use and treatment of DuPont Samples. DuPont agrees to pay directly, or to reimburse Lynx for, any shipping, handling or other like expenses that may be incurred in providing Samples to Lynx hereunder. As consistent with the [*] Analyses forecast and planning provisions described in the Work Plan, Pioneer shall provide its Samples to Lynx within [*] as necessary for Lynx to conduct the Services in that [*]. Lynx shall provide, at its own expense, all equipment, materials, information, know-how, and related services as are necessary to perform the Services and satisfy its obligations under this Agreement. Lynx shall promptly deliver all Results to DuPont upon completion of the corresponding Analyses.
Scope and Description of Services. Taitem will provide the Services described in Schedule A attached hereto (“the Services”) to Client on the terms and conditions set forth in this Agreement and any Agreement entered into by Taitem and NYSERDA concerning the Project.
Scope and Description of Services. A. SCOPE OF SERVICES Under this Agreement, the Architect will provide services for the Conceptual Design and Schematic Design Phases of the Project. Upon Owner’s election in writing, the Architect will also provide services for the Design Development Phase, Construction Drawings and Specifications Phase, Bidding or Negotiation Phase, Construction Administration Phase and Post-Construction Phase as set forth in this Agreement. The Architect acknowledges that the Owner may elect not to proceed with subsequent Phases of the Project beyond the Schematic Design Phase unless and until the Project has been approved by the State of Minnesota during the 2009 (or later year) Legislative Session (“Legislative Approval”). The Owner reserves the right to decide not to proceed, to proceed under this Agreement as originally executed, to negotiate an amendment to this Agreement to comport with legislative and funding requirements or other factors, or to terminate this Agreement and engage another architect or other design professionals for subsequent phases of the Project. Architect acknowledges that, in the interest of time and cost savings, the Owner may by written election direct Architect to continue with certain Basic Services for subsequent Phases prior to Legislative Approval, and Architect will provide the requested services. Architect shall be compensated for such services as Additional Services. If Legislative Approval is obtained and the Owner elects to proceed with the Project under the terms of this Agreement, then the foregoing amounts paid to Architect as Additional Services shall be credited against the Architect’s compensation for Basic Services for such subsequent Phases of the Project. The Services the Architect shall provide under this Agreement consist of Basic Services, Additional Services, and other obligations of Architect under this Agreement. “Basic Services” consist of normal architectural services, other than Owner’s Consultants Services, which the Architect shall provide directly through its employees and separate consultants (“Subconsultants,” as more specifically defined at Section III.C). “Owner’s Consultants Services” consist of those services provided by consultants directly hired and paid by the Owner (the “Owner’s Consultants”), as listed in attached Exhibit D. Scope and Description of Services a. DMI shall provide the following services to FFNHA:
1. Office and exhibit space in the historic Carnegie Building in Lawrence, Kansas. DMI will secure a lease for FFNHA space in cooperation with the city of Lawrence, the value of which is at least $15,000 per year.
2. Office equipment, communication services (office and cellular phone systems_ and technology support (network support with a qualified contractor). Based on previous budgeting, the value of the communications services is approximately $5,000 per year and $2,500 per year for network and technical support. DMI will not be responsible for hardware or software needs of FFNHA.
3. Storage space at a facility in Lawrence for FFNHA, estimated value of $1,500 per year.
4. FFNHA staff has total responsibility for performance of its obligations under the Cooperative Agreement with the National Park Service. FFNHA Board of Trustees shall provide for all other payroll processing needs and taxes, financial reporting, workers’ compensation, liability and insurance necessary for the operations and any required governmental reporting.
5. The DMI Board will continue to be available as a resource to FFNHA to maintain and further Congressional, state and local governmental connections, as requested.
Scope and Description of Services. The engineering services shall be executed under one or more contract(s) (hereinafter, “the main contract(s)”) based on this Framework Agreement. Main Contract No.1 shall come into force together with this Framework Agreement. Further main contracts may or may not be concluded at the discretion of the Client depending on results achieved.
Scope and Description of Services. A. The Company will provide trained individuals to work at designated locations throughout the City of Lenexa.
B. The City requires the furnishing of school crossing guards at times and locations designated In "APPENDIX B - CROSSING GUARD LOCATIONS" attached hereto and incorporated herein by reference. (Number of locations may be modified at any time at the sole discretion of the City).
C. All personnel of the Company assigned as school crossing guards shall be appropriately trained and shall meet the following criteria: - Minimum age of eighteen (18) years; - Good physical and mental health; - Ability to read and write English; - Ability to understand and follow directions; and - Not be a registered sex offender.
D. Company agrees to conduct its standard criminal background check on all candidates to be assigned as school crossing guards in City. Company agrees that no candidate will be hired to work in City whose background check reveals that he/she has been convicted of any persons crimes, any crime against children, or any crime involving moral turpitude. Additionally, Company agrees that any drug or other convictions will be individually reviewed by Company to determine the appropriateness of the candidate to work near or with children.
E. All personnel of the Company assigned as school crossing guards shall be provided with proper equipment and uniforms, and shall, when working, be in uniform and identifiable as a school crossing guard.
F. Supervisors shall be selected by the Company to supervise all guards. Supervisors shall be responsible for scheduling the crossing guards, visiting and inspecting the guards while they are on duty, and filling in as necessary for open shifts, illness, etc. Supervisors shall ensure that each crossing is covered as required by a trained guard, and that the guards are performing the duties required of them.
G. A Company staff person shall be assigned to be the project manager. This person shall work with the above-described supervisor(s) and City staff to ensure that the overall goals of the program are met, to make unannounced periodic visits to the crosswalks to observe the crossing guards' performance while on duty, and to hold regularly scheduled meetings with City staff to review the program and administer any adjustments necessary to maintain an effective, efficient, and well-managed program.

The Company has developed a voucher hunting software, being a mobile application, using augmented reality technology to allow customers to travel and redeem vouchers (Software). The Client wishes to utilise the Software to offer this functionality to its customers under its own brand. The scope of these Services is for the Company to customise the Software to the Client's brand. The scope of these Services does not include the provision of the actual Software, which is subject to separate Software Licence Terms.
Scope and Description of Services. ❑ Counseling STCC will provide 5 professional diagnostic and counseling sessions to individual employees and their dependents per year. A diagnostic evaluation is defined as a session with a New York State Licensed Clinical Social Worker who is a member in good standing with the National Association of Social Workers (NASW). A counseling session is 1 hour in length. The social worker will provide an assessment and brief, solution focused counseling in a safe, private and confidential office. If, upon completion of the 5 session maximum, the employee or his/her dependents choose to continue counseling, referrals to appropriate service providers, one of which may be a STCC provider, will be provided. ❑ Mandatory and Voluntary Referrals STCC staff are trained to address both supervisor-referred employees as well as self-referred employees. We understand that there are times when the employee assistance services can become part of a disciplinary process and may even prevent a termination of an employee by successfully addressing performance issues. In these cases, the employee may be referred to receive employee assistance services as a condition of employment.
