Scope of Grant. ACS grants Grantee non-exclusive and nontransferable permission to access ACS products and services as identified in the attachments to this Agreement (collectively “ACS Products”), subject to the terms and conditions set forth in this Agreement, including all attachments.
Scope of Grant. Subject to the terms and conditions of this Agreement, Licensor hereby irrevocably grants to Licensee during the Term a perpetual, exclusive right and license to the Distribution Rights in the Territory.
Scope of Grant. Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee for the Term (as defined herein) an exclusive, sublicensable, royalty-bearing, license to make, have made, use, provide, import, export, lease, distribute, sell, offer for sale, develop and advertise Licensed Products in the Field of Use in the Territory and to develop and perform Licensed Processes in the Field of Use in the Territory.
Scope of Grant. Subject to the Grant Recipient’s performance of all required actions under this Agreement, Steelcase shall provide the Grant as reasonably determined by Steelcase. Steelcase represents that there is no correlation or connection between its selection of institutions for grant awards and an institution’s business relationship or potential business relationship with Steelcase. Participation in the Steelcase Education Active Learning Center Grant Program does not require or impose any quid pro quo condition. This Agreement also shall not be interpreted to create any pledge or commitment by Steelcase to make any other or further grants or contributions to the Grant Recipient or any other person or entity for this or any other project. It is understood that results of Grant activities will be used by Steelcase to further its evidence-based design principles and to further the development, effectiveness, and commercialization of the Active Learning Center or other products or business activities of Steelcase.
Scope of Grant. Notwithstanding anything herein to the contrary, in no event shall the Collateral include or the security interest granted under Section 1.1 attach to any agreement, permit, consent, order or franchise covering real or personal property of any Pledgor, and any of its rights or interest thereunder, if and to the extent that the grant of a security interest or lien is prohibited by or in violation of (y) any law, rule, regulation or order, or (z) a term, provision or condition of any such agreement, permit, consent, order or franchise in each case (unless such law, rule, regulation, term, provision or condition would be rendered ineffective with respect to the creation of the security interest hereunder pursuant to Sections 9-406, 9-407, 9-408 or 9-409 of the UCC (or any successor provision or provisions) of any relevant jurisdiction or any other applicable law (including any Bankruptcy Law) or principles of equity) and such provision or condition has not been waived or the consent of the other party to such agreement, permit, consent, order or franchise has not been obtained; provided, however, that the Collateral shall include (and such security interest shall attach) immediately at such time as the contractual or legal prohibition shall no longer be applicable and to the extent severable, shall attach immediately to any portion of such agreement, permit, consent, order or franchise not subject to the prohibitions specified in (y) or (z) above; provided further that the exclusions referred to in this paragraph shall not include any proceeds of any such agreement, permit, consent, order or franchise.
Scope of Grant. (a) The License is exclusive within the MAKO Field, but only to the extent that the Licensed IP Rights possessed or licensable by Z-KAT are exclusive within the MAKO Field.
(b) The License includes, unless it is otherwise expressly stated in this Agreement, and subject specifically to the limitations of Section 2.3, the following rights:
(i) with respect to Patents, to make, have made, use, lease, sell, offer to sell, and import machines and articles of manufacture for use within the MAKO Field; and to make, have made, use and import machines, tools, materials and other instrumentalities, insofar as such machines, tools, materials and other instrumentalities are involved in or incidental to the development, manufacture, testing or repair of products for use within the MAKO Field, which are made or imported under the authority of the licensee;
(ii) with respect to Technical Information, to make, use, sell, lease, distribute, publicly display, and make available products solely within the MAKO Field incorporating or embodying the Technical Information;
(iii) with respect to copyrights, to copy, publicly distribute, publicly perform, publicly display, prepare derivatives, and digitally transmit the work in which the copyright exists, for use within the MAKO Field; and
(iv) to convey to any purchaser, lessee, or user of any product for use within the MAKO Field, which is made under authority of MAKO or its sublicensee, rights to use and resell the product.
(c) MAKO may, without the consent of or notice to Z-KAT, grant further sublicenses under the License, but only to the extent and within the scope of the License that it has been granted under this Agreement. However, if any of the License Agreements require [***] Confidential treatment has been requested for portions of this exhibit. The copy filed herewith omits the information subject to the confidentiality request. Omissions are designated as [***]. A complete version of this exhibit has been filed separately with the Securities and Exchange Commission. notice of grant of sublicense, MAKO must provide notice to the Licensor in accordance with the License Agreement.
Scope of Grant. (a) Subject to the terms and conditions of this Agreement, Licensor grants to Licensee a limited, exclusive license and right, including related Improvements and Inventions, to:
(1) Market, sell and supply Nano Reactor® Systems incorporating Nano Reactor® Devices that are (A) operated by Site Users for the sole purpose of producing and/or processing plant Oils & Fats, or Oleochemicals, including without limitation aiding in or facilitating the production of neutralized, degummed or dewaxed Oils & Fats, either as stand-alone units or in connection with the operation of Oils and Fats Processing Facilities, or in connection with other processes involving or relating to Oils & Fats or Oleochemcials, and (B) located within the Licensed Territory;
(2) Include or incorporate the Nano Reactor® Systems into Oils and Fats Processing Facilities for the purpose of integrating Nano Reactor® Systems into or part of Oils and Fats Processing Facilities or any process or processing equipment comprising a part thereof; will be installed and operated by Site Users within the Licensed Territory for the sole purpose of making or aiding in the refinement of plant CTI Initials ______ DB Initials _________ Oils & Fats or Oleochemicals, including without limitation the production of neutralized, degummed or dewaxed Oils & Fats, either as stand-alone Nano Reactor® Systems or in connection with or as part of any Oils & Fats Processing Facility or other Oils & Fats processes.
(3) Assist Site Users in the inspection, installation, testing, startup, operation and maintenance of each Nano Reactor® System and Nano Reactor® Device.
(b) Except as provided under this Agreement, the marketing rights and license granted to Licensee under this Agreement shall not include any design, fabrication or manufacturing rights in or to the Nano Reactor® Device, or any part thereof.
(c) In no event shall Licensor market directly to any competitor of Licensee without written consent of Licensee.
Scope of Grant. As a condition of this Grant, Grantee must diligently and in good faith perform the obligations specified herein and as stated in the attached, applicable Schedules. This Grant Agreement involves the purchase of equipment. 1) A description of the equipment to be purchased, 2) cost of the equipment, 3) source of the equipment and/or 4) a plan to acquire equipment (including any plan for requests for proposals or bids to be solicited) is attached as Schedule C (Equipment).
Scope of Grant. In accordance with the stated purpose of the NBD grant, the GRANTEE has been awarded a Neighborhood Business District Grant Award (“Grant Award”) to supplement expenditures intended to promote the NBD and its members' businesses. Ineligible expenses will not be accepted regardless of this approval. Any questions regarding expense eligibility shall be directed to the CITY at any time during the term of this Agreement. It is the GRANTEE’s responsibility to understand eligible and ineligible expenses relative to the Grant Award.
Scope of Grant. In consideration of and subject to the terms and conditions of this Agreement, Daiichi Sankyo grants to Rain, a royalty-bearing, exclusive (even as to Daiichi Sankyo, except as otherwise expressly set forth herein) right and license in the Field in the Territory, with the right to grant one or more sublicenses through multiple tiers in accordance with the terms of Sections 2.2 and 2.3, under the Daiichi Sankyo Technology: (a) to research and develop the Licensed Compound and Product; (b) to make, have made, use, import and export the Licensed Compound for the purpose of making, having made, using, offering for sale, selling, marketing, distributing, importing and exporting Product; and (c) to make, have made, use, offer for sale, sell, have sold, market, distribute, import and export Product.
