Common use of SEC Reports, Etc Clause in Contracts

SEC Reports, Etc. With reasonable promptness, copies of all notices, reports or materials filed by the Lessee with the Securities and Exchange Commission (or any governmental body or agency succeeding to the functions of the Securities and Exchange Commission) under the Securities Act of 1933, as amended, other than Registration Statements on Form S-8 or any amendments thereto, or the Securities Exchange Act of 1934, as amended, other than Annual Reports on Form 10-K, and including without limitation, all Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q and Current Reports on Form 8-K. Together with each delivery of financial statements required by clause (b)(i) above, the Lessee will deliver to the Lessor and the Secured Parties an Officer's Certificate stating that the Lessee is in compliance with the terms of this Lease Agreement and stating that there exists no Lease Event of Default, or Terminating Event or, if any Lease Event of Default, or Terminating Event exists, specifying the nature and period of existence thereof and what action the Lessee proposes to take with respect thereto. The Lessee also covenants that promptly upon the obtaining of knowledge of a Lease Event of Default by the chief executive officer, principal financial officer or principal accounting officer of the Lessee, it will deliver to the Lessor and the Secured Parties an Officer's Certificate specifying the nature and period of existence thereof and what action the Lessee proposes to take with respect thereto.
