Second Amendment Notes. Agent and Saratoga Agent shall have received, in form and substance reasonably satisfactory to Agent and Saratoga Agent, (i) an executed Term Loan B Note, dated as of the Second Amendment B Date and substantially in the form of Exhibit 2.3 of the Credit Agreement, made by the Borrowers in favor of PNC Bank, in the principal amount of $18,600,000, (ii) an executed Term Loan B Note, dated as of the Second Amendment and substantially in the form of Exhibit 2.3 of the Credit Agreement, made by the Borrowers in favor of Saratoga III, in the principal amount of $14,400,000, (iii) an executed amended and restated revolving note, substantially in the form of Exhibit 2.1 of the Credit Agreement, made by the Borrowers in favor of PNC Bank, in the principal amount of $3,000,000, (iv) an executed amended and restated Term Loan A Note, in f orm and substance satisfactory to Agent and Saratoga Agent, made by the Borrowers in favor of PNC Bank, in the principal amount of $12,400,000.00 and (v) an executed amended and restated Term Loan A Note, in form and substance satisfactory to Agent and Saratoga Agent, made by the Borrowers in favor of Saratoga Agent, in the principal amount of $9,600,000.00.
