Securities Act; Trust Indenture Act. Assuming the accuracy of the representations and warranties of the Purchasers and Special Share Purchaser contained in Article IV, it is not necessary, in connection with the issuance and sale of the Notes to the Purchasers in the manner contemplated by this Agreement, to register the Notes under the Securities Act or to qualify the Notes under the Trust Indenture Act.
